1.2 Scope. This Template governs the content, review, approval authority, required attachments, delivery methods, and recordkeeping for each Legal Letter delivered pursuant to this agreement.

2. Model Letter Content

2.1 Required Content. Each Legal Letter must include: (a) a clear statement of the purpose; (b) factual basis and supporting dates; (c) a specific demand or request for action; (d) a discrete deadline for response; and (e) a statement of applicable legal authority or consequence for noncompliance.

3. Response Deadline and Delivery

3.1 Deadline. Unless otherwise specified in an individual Legal Letter, Recipient shall respond in writing by no later than after receipt of the Legal Letter. Time is of the essence with respect to any response deadline set forth in a Legal Letter.

3.2 Delivery Methods. Legal Letters shall be delivered by first-class mail, certified mail, national overnight courier, or email where expressly authorized. If delivery by mail or courier is selected, the date of delivery for purposes of this Template shall be the date of actual receipt.

4. Representations; Authority

4.1 Sender represents and warrants that any Legal Letter issued under this Template will be based on a reasonable factual and legal foundation and will not be frivolous. Sender further represents that it has authority to transmit the Legal Letter and to bind itself to the obligations set forth herein.

4.2 Recipient represents that it will consider in good faith any request for information or action contained in a Legal Letter and will not unreasonably withhold consent to provide records or access where required by law.

5. Confidentiality; Privilege

5.1 Communications. To the extent a Legal Letter contains attorney-client communications, work product, or other privileged material, such contents shall be maintained as confidential and privileged. Disclosure to third parties shall be limited to the extent necessary and permitted by law, and the parties agree to take reasonable steps to protect privileged communications.

6. Remedies; Fees

6.1 Remedies. Except as otherwise provided in an individual Legal Letter, the remedies available to either party for breach of this Template shall include equitable relief, injunctive relief, and monetary damages in accordance with applicable law.

6.2 Fees. If a Legal Letter results in litigation or enforcement proceedings, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by statute or contract.

7. Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent or willful breach of this Template or any Legal Letter transmitted thereunder.

8. Notices

All notices, requests, consents, demands and other communications required or permitted under this Template shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

9. Amendments; Waiver; Counterparts

9.1 Amendments. This Template may be amended or modified only by a written instrument executed by both parties.

9.2 Waiver. No waiver of any provision of this Template shall be effective unless in writing and signed by the party against whom the waiver is asserted. A waiver of any breach shall not be deemed a waiver of any subsequent breach.

9.3 Counterparts. This Template may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10. Governing Law; Entire Agreement; Severability
