LEGAL LIABILITY WAIVER FORM

This Legal Liability Waiver ("Waiver") is made effective as of Effective Date: by and between Participant Name: (hereinafter "Participant") and Provider Name: (hereinafter "Provider" or "Releasee").

RECITALS

WHEREAS, Participant desires to engage in certain activities, programs, services or events described as Activities: provided, organized, supervised or facilitated by Provider; and

WHEREAS, the Parties seek to define their rights and responsibilities with respect to the risks inherent in the Activities and to allocate liability between them; and

WHEREAS, Participant acknowledges that participation is voluntary and that Participant has had a reasonable opportunity to ask questions and obtain information regarding the Activities and the risks involved.

NOW, THEREFORE

In consideration of being permitted to participate in the Activities and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Waiver, "Claims" means any and all claims, demands, causes of action, suits, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees), whether in contract, tort, strict liability, statute or otherwise, known or unknown, arising out of or related to Participant's participation in the Activities.

2. ASSUMPTION OF RISK

Participant acknowledges and understands that the Activities involve inherent risks, hazards and dangers that may result in bodily injury, death, property damage or other harm. Participant affirms that Participant is voluntarily participating in the Activities with knowledge of the danger involved and hereby assumes full responsibility for any and all risks of loss, property damage, or personal injury, including death, that may be sustained while participating.

3. RELEASE AND WAIVER

Participant hereby releases, waives, discharges and covenants not to sue Provider, its officers, directors, employees, agents, volunteers, affiliates and representatives (collectively "Released Parties") from and for all Claims arising out of or relating to Participant's participation in the Activities, including Claims arising from the negligence of the Released Parties, to the fullest extent permitted by applicable law. This waiver and release does not extend to claims arising from the Released Parties' willful misconduct or gross negligence to the extent such claims are non-waivable under controlling law.

4. INDEMNIFICATION

Participant agrees to defend, indemnify and hold harmless the Released Parties from and against any and all Claims arising out of or resulting from Participant's acts or omissions in connection with the Activities, including any Claims brought by third parties, except to the extent such Claims are caused by the gross negligence or willful misconduct of the Released Parties.

5. MEDICAL AUTHORIZATION

Participant hereby authorizes Provider and its representatives to administer or obtain emergency medical treatment for Participant if, in the judgment of Provider or its representatives, such treatment is necessary. Participant acknowledges that Participant is solely responsible for all costs associated with such medical treatment and any transportation.

6. REPRESENTATIONS AND WARRANTIES

Participant represents and warrants that Participant is physically fit and has no medical condition that would prevent safe participation in the Activities. Participant agrees to comply with all rules, instructions and directions of Provider and understands that failure to do so may result in removal from the Activities without refund.

7. INSURANCE

Participant acknowledges that Provider may not carry insurance covering Participant. Participant is encouraged to maintain appropriate health, accident and other insurance coverage. Participant accepts sole responsibility for procuring and maintaining any insurance desired for Participant's protection.

8. NOTICES

Notices under this Waiver shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or sent by certified mail, return receipt requested, to the addresses set forth above or such other address as a party may designate by notice.

The execution of this Waiver shall not be construed as an admission of liability by any party. The remedies provided in this Waiver are cumulative and in addition to any other remedies at law or in equity.

10. SEVERABILITY

If any provision of this Waiver is held invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed in a manner that best effectuates the intent of the parties.

11. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the State or jurisdiction of Governing Law Location: without regard to its conflicts of laws principles.

12. ENTIRE AGREEMENT; AMENDMENTS; WAIVER

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements. No amendment, modification or waiver of any provision shall be effective unless in writing and signed by both parties. The failure or delay of any party to exercise any right shall not constitute a waiver of that right.

13. COUNTERPARTS
