LEGAL LICENSE COMPLIANCE FORM

This Legal License Compliance Form (the "Form") is made as of by and between Licensor: with principal place of business at , and Licensee: with principal place of business at . Each of Licensor and Licensee may be referred to herein as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Licensor and Licensee are parties to a license agreement identified as License/Agreement No. dated (the "License Agreement");

WHEREAS, the License Agreement requires Licensee to comply with specified licensure conditions, statutory and regulatory requirements, and to permit verification of compliance by Licensor; and

WHEREAS, the Parties wish to establish a written record of Licensee's representations, reporting obligations, audit procedures, and remediation steps relating to Licensee's compliance with the License Agreement and applicable law.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, the sufficiency of which is acknowledged, the Parties agree as follows:

1. DEFINITIONS

For the purposes of this Form, the following terms shall have the meanings set forth below. "Compliance Officer" means the individual designated by Licensee to oversee compliance matters (contact information required in Section 3). "Noncompliance" means any material breach of the License Agreement or failure to meet a statutory or regulatory requirement applicable to the licensed activity.

2. REPRESENTATIONS AND WARRANTIES

Licensee represents and warrants that as of the Effective Date: (a) Licensee holds the licenses and authorizations required to perform the licensed activities and such authorizations are current and in good standing; and (b) to Licensee's knowledge, Licensee is in material compliance with the provisions of the License Agreement and all applicable laws and regulations governing the licensed activities.

3. ONGOING COMPLIANCE OBLIGATIONS

Licensee shall maintain policies, procedures and records reasonably necessary to ensure ongoing compliance with the License Agreement and applicable law. Licensee shall designate a Compliance Officer responsible for compliance oversight and primary contact for Licensor.

4. REPORTING AND RECORDKEEPING

Licensee shall prepare and retain records demonstrating compliance for a period no less than five (5) years following the date of the entry of the record, or such longer period as required by law or the License Agreement. Licensee shall submit periodic compliance reports to Licensor according to the schedule below.

5. AUDIT AND INSPECTION RIGHTS

Licensor, or its designated representative, shall have the right, upon reasonable advance written notice to Licensee, to inspect Licensee's records, facilities and operations that relate to the License Agreement and compliance with applicable law. Such audits shall be conducted during normal business hours and in a manner that minimizes disruption.

6. NOTICE OF NONCOMPLIANCE; REMEDIATION

If Licensor determines, in good faith, that Licensee is in Noncompliance, Licensor shall provide written notice specifying the nature of the Noncompliance. Licensee shall, within the cure period set forth below, prepare and execute a written remediation plan reasonably acceptable to Licensor and implement the plan promptly.

7. REMEDIES; TERMINATION

If Licensee fails to cure Noncompliance within the applicable cure period or otherwise materially breaches the License Agreement, Licensor may exercise any remedy available under the License Agreement or at law or equity, including suspension or termination of licensing rights. The exercise of any remedy shall not preclude Licensor from seeking injunctive or other equitable relief where appropriate.

8. INDEMNIFICATION

Licensee shall indemnify, defend and hold harmless Licensor, its affiliates and their respective officers, directors, employees and agents from and against any and all losses, claims, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising out of or relating to Licensee's breach of this Form, the License Agreement or Licensee's failure to comply with applicable law.

9. CONFIDENTIALITY

The Parties acknowledge that information disclosed pursuant to audits or compliance reports may include confidential business information. Except as required by law or regulation, each Party shall maintain the confidentiality of such information in accordance with the confidentiality provisions of the License Agreement.

10. GOVERNING LAW; VENUE

This Form shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the courts of that state for any dispute arising out of this Form.

11. ENTIRE AGREEMENT

This Form, together with the License Agreement as referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

12. SEVERABILITY

If any provision of this Form is held to be invalid or unenforceable under applicable law, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as the receiving Party may designate in writing pursuant to this Section.

14. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Form shall be effective unless in writing and signed by both Parties. No failure or delay by either Party in exercising any right shall constitute a waiver. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
