RECITALS

3. CONSIDERATION AND ADJUSTMENT

4. REPRESENTATIONS AND WARRANTIES

Licensor represents and warrants that it has full right, title and authority to effectuate the reduction set forth herein and that the exercise of such authority will not, to Licensor's knowledge, infringe third-party rights or violate any material contractual obligation. Licensee represents and warrants that it has reviewed the reduced scope and, by executing this Agreement, accepts the reduction and any adjusted consideration described herein.

5. COVENANTS

Each party covenants to execute such further instruments and take such further actions as may be reasonably necessary to carry out the intent and purpose of this Agreement, including documenting the reduced scope in any operative schedules or systems of record.

6. CONFIDENTIALITY

Except as otherwise permitted under the underlying license agreement, the terms and existence of this Agreement shall be treated as Confidential Information and shall not be disclosed except as permitted by the parties' confidentiality obligations or required by law.

7. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from any breach of representation, warranty or covenant set forth in this Agreement, except to the extent that such losses result from the indemnitee's own gross negligence or willful misconduct.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing in accordance with this Section.

9. AMENDMENTS; WAIVER

This Agreement may be amended or modified only by a written instrument executed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

11. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

This Agreement, together with the underlying license agreement as modified hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. MISCELLANEOUS

The parties acknowledge that this Agreement does not operate as a novation of the underlying license except as expressly stated herein. Headings are for convenience only and do not affect interpretation. Any monetary amounts referenced are in the currency specified in the underlying license unless otherwise indicated.
