Any renewal granted shall be effective only upon written notice of approval from Licensor.

8. NOTICES

All notices required or permitted under this Renewal Form must be in writing and delivered to the addresses below by certified mail, personal delivery, or other verifiable means.

9. AMENDMENTS, WAIVER AND COUNTERPARTS

This Renewal Form may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed. This instrument may be executed in counterparts, each of which shall constitute an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY
