8. Confidentiality

8.1 Any non-public information exchanged in connection with this Request and any subsequent license agreement shall be treated as Confidential Information by the receiving party and shall be protected from unauthorized disclosure using at least the same degree of care as the receiving party uses to protect its own confidential information, but in no event less than reasonable care.

9. Indemnification and Limitation of Liability

9.1 Indemnification. Each party agrees to indemnify, defend and hold the other harmless from and against any losses, damages, liabilities, and expenses arising from the indemnifying party's breach of its representations, warranties, or obligations under any resulting license.

9.2 Limitation of Liability. Except for liability arising from willful misconduct, gross negligence, or a party's indemnification obligations, neither party shall be liable to the other for indirect, incidental, consequential, punitive or special damages, and each party's aggregate liability shall not exceed the amount of fees paid under the license in the twelve (12) months preceding the claim.
