LETTER OF AUTHORIZATION

This Letter of Authorization (the "LOA") is made as of by and between Principal Name: with principal address at and Authorized Representative (Agent) Name: with address at .

RECITALS

WHEREAS, Principal is the lawful owner or authorized custodian of certain rights, interests and accounts described herein and desires to delegate limited authority to the Agent to act on Principal's behalf in matters specified in this LOA; and

WHEREAS, Agent represents that Agent has the capacity, experience and authority to perform the actions described in this LOA and agrees to act only within the scope set forth below; and

1. Grant of Authority

1.1 Principal hereby appoints Agent, and Agent accepts such appointment, as Principal's limited representative to perform the acts expressly described in the Scope of Authorization. Agent shall act only in Principal's name and on Principal's behalf to the extent and for the purposes set forth in this LOA.

1.2 The specific powers granted to Agent under this LOA include, without limitation, the authority to: (a) communicate with third parties on behalf of Principal regarding the matters described in Section 2; (b) receive and review documents, notices and records related to such matters; and (c) execute documents reasonably necessary to accomplish actions expressly authorized herein, provided that such execution is consistent with the limitations set forth in this LOA.

2. Scope of Authorization

2.1 The authorization granted under this LOA is limited to the following matters and no others:

2.2 Agent shall not have authority to: (a) sell, transfer, pledge or encumber Principal's ownership interests or real property; (b) modify Principal's estate planning instruments; or (c) bind Principal to long-term financial obligations except as expressly authorized in writing by Principal.

3. Term; Termination

3.1 This LOA shall commence on the Effective Date set forth above and shall continue in full force and effect until terminated as provided herein.

3.2 Either party may terminate this LOA for convenience by delivering written notice to the other party. Unless otherwise provided, termination shall be effective days after receipt of such notice. Termination shall not affect Agent's authority with respect to actions undertaken prior to the effective date of termination if those actions were within the scope of this LOA and taken in good faith.

4. Duties and Standard of Care

4.1 Agent shall act in good faith, with reasonable skill and care customary for agents performing similar functions, and in the best interests of Principal when exercising authority under this LOA.

4.2 Agent shall keep accurate records of actions taken under this LOA and shall, upon reasonable request, provide copies of such records to Principal.

5. Representations and Warranties

5.1 Each party represents and warrants to the other that: (a) it has full power and authority to enter into and perform this LOA; (b) the execution and delivery of this LOA have been duly authorized; and (c) this LOA constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

6. Confidentiality

6.1 Agent shall maintain in confidence all non-public information obtained from Principal in connection with actions taken under this LOA and shall not disclose such information except as required by law or with Principal's prior written consent.

7. Indemnification

7.1 Principal agrees to indemnify, defend and hold harmless Agent and its officers, directors and employees from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or relating to Agent's lawful performance of duties within the scope of this LOA, except to the extent caused by Agent's gross negligence or willful misconduct.

8. Compliance with Law

8.1 Agent shall comply with all applicable federal, state and local laws, regulations and professional standards in performing duties under this LOA. Agent shall not knowingly take any action that would cause Principal to be in violation of applicable law.

9.1 All notices permitted or required under this LOA shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or delivered by nationally recognized overnight courier service, to the addresses set forth above or to such other address as a party may designate by notice in accordance with this Section.

10. Amendments; Waiver; Counterparts

10.1 This LOA may be amended only by a writing signed by both parties. No failure or delay by either party in exercising any right or remedy shall operate as a waiver of that right or remedy, and a waiver must be in writing to be effective.

10.2 This LOA may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures delivered by electronic means (including facsimile or electronic transmission of scanned signatures) shall be effective to bind the signatory.

11. Governing Law; Entire Agreement; Severability

11.1 This LOA shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles.
