LEGAL MANDATE CONTRACT

RECITALS

WHEREAS, Client desires to engage Agent to take certain actions and exercise specific powers on behalf of Client in connection with legal, administrative, and settlement matters as set forth in this Agreement; and

WHEREAS, Agent represents that Agent has the experience, capacity, and authority to act for Client in the matters described herein and is willing to accept such appointment on the terms and conditions set forth; and

WHEREAS, the parties wish to set forth the scope of the mandate, the duties to be performed by Agent, the compensation to be paid by Client, and other terms governing their relationship.

NOW THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Mandate" means the authority granted by Client to Agent under this Agreement to act on behalf of Client in the matters described in Section 2. 1.2 "Confidential Information" means all non-public information disclosed by one party to the other in connection with this Agreement, whether oral, written, electronic or otherwise.

2. APPOINTMENT AND SCOPE OF MANDATE

2.1 Appointment. Client hereby appoints Agent, and Agent accepts such appointment, to act as Client's mandatary to perform the acts, execute instruments, and take such steps as are reasonably necessary to pursue, negotiate, settle, compromise, and conclude the legal, administrative, and financial matters described in this Agreement.

2.2 Scope. Without limiting the generality of the foregoing, Agent is authorized to:

(a) Initiate, prosecute, defend, or settle claims, suits, or administrative proceedings on behalf of Client; (b) execute, deliver and accept releases, settlement agreements, consents, and related instruments; (c) retain, direct, and consult counsel and other professionals; (d) receive, endorse, and collect funds, and to open and operate accounts for the deposit and management of recovered funds on Client's behalf; and (e) take any other action reasonably necessary to effectuate the purposes of this Agreement, subject to the limitations set forth herein.

3. DUTIES OF AGENT

3.1 Standard of Care. Agent shall perform the Mandate with due care, skill and in good faith, in the best interests of Client and in accordance with applicable law and professional standards.

3.2 Accounting and Records. Agent shall maintain complete and accurate records of all actions taken, funds received or disbursed, and contracts executed on behalf of Client and shall provide Client with reasonable accountings upon request and at termination of this Agreement.

4. AUTHORITY LIMITATIONS

4.1 Notwithstanding the general grant of authority, Agent shall not (a) make gifts on behalf of Client, (b) execute wills or testamentary instruments, (c) transfer Client's real property without Client's prior written consent, or (d) settle any claim or execute any instrument that would obligate Client to pay aggregate sums in excess of without prior written approval of Client.

5. TERM

5.1 Effective Date. This Agreement shall become effective on the date first written above and shall continue in effect until terminated in accordance with Section 11.

6. COMPENSATION

6.1 Fees. Client shall pay Agent compensation as follows (select one and provide details):

6.2 Allocation. Any fees due to Agent shall be paid from recoveries prior to disbursement to Client, unless otherwise agreed in writing.

7. EXPENSES

Client shall reimburse Agent for all reasonable out-of-pocket expenses incurred in the performance of the Mandate, including but not limited to filing fees, court costs, expert fees, travel, and third-party vendor charges, provided that Agent shall obtain Client's prior approval for any single expense in excess of $ .

8. CONFIDENTIALITY

8.1 Each party shall keep Confidential Information strictly confidential and shall not disclose such information to any third party except as required by law or as necessary to perform this Agreement. Agent may disclose Confidential Information to authorized consultants, employees, or counsel provided such persons are bound by confidentiality obligations no less protective than those contained herein.

9. CONFLICTS OF INTEREST

Agent represents that, to the best of Agent's knowledge, Agent has no conflict of interest that would materially impair performance of the Mandate. If a potential conflict arises, Agent shall promptly disclose the nature of the conflict to Client and, if requested by Client, shall refrain from acting until Client provides informed written consent.

10. REPRESENTATIONS AND WARRANTIES

10.1 Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement has been duly authorized.

11. TERMINATION

11.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon giving written notice to the other party at least days prior to the intended termination date.

11.2 Effect of Termination. Upon termination Agent shall cease to act for Client, deliver to Client all original documents and records in Agent's possession relating to the Mandate, and provide a final accounting. Termination shall not affect rights accrued prior to termination, including the right to fees and reimbursement for expenses incurred.

12. INDEMNIFICATION; LIMITATION OF LIABILITY

12.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party and its officers, directors, agents and employees from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of a material breach of this Agreement or willful misconduct by the indemnifying party.

12.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or fraud, neither party shall be liable to the other for consequential, incidental, punitive or special damages. The total aggregate liability of Agent for any claim arising under this Agreement shall not exceed the total fees actually paid to Agent under this Agreement.

13. NOTICES

Notices shall be delivered by hand, nationally recognized overnight courier, certified mail (return receipt requested), or by email with confirmation of receipt to the addresses set forth above and shall be effective upon receipt.

14. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any action arising under this Agreement.

15. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER

15.1 Entire Agreement. This Agreement, together with any written schedules or exhibits expressly incorporated, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.

15.2 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, such provision shall be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

15.3 Amendment. This Agreement may be amended or modified only by a written instrument signed by both parties.

15.4 Waiver. No waiver of any term or condition of this Agreement shall be effective unless made in writing and signed by the waiving party. A waiver of any breach shall not operate as a waiver of any subsequent breach.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be deemed originals for all purposes.
