LEGAL MANDATE FORM

RECITALS

WHEREAS, the Principal desires to engage the Mandatary to perform certain acts and provide certain services on behalf of the Principal, subject to the terms and limitations set forth herein; and

WHEREAS, the Mandatary represents that it has the necessary authority, expertise and qualifications to perform the duties described in this Mandate and is willing to accept such appointment upon the terms and conditions of this Mandate; and

WHEREAS, the parties desire to set forth in writing the scope, duration, and limitations of the authority granted to the Mandatary.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. APPOINTMENT

The Principal hereby appoints the Mandatary, and the Mandatary accepts the appointment, to act as the Principal's agent with the authority expressly granted in this Mandate. The Mandatary shall act only within the scope and subject to the express limitations set forth in this Mandate.

2. SCOPE OF AUTHORITY

The Mandatary is authorized to undertake the following actions on behalf of the Principal: description of authority and tasks:

The Mandatary shall not exercise authority beyond that expressly provided herein. Any exercise of authority that would materially alter the Principal's legal or financial position requires the Principal's prior written consent.

3. LIMITATIONS AND PROHIBITIONS

The Mandatary shall not: (a) convey, transfer, encumber or otherwise dispose of the Principal's real property; (b) execute promissory notes, guarantees or long-term obligations in excess of the amount specified in this Mandate; or (c) settle litigation on terms that create an obligation exceeding the Principal's approved threshold without prior written authorization.

4. TERM AND TERMINATION

This Mandate shall commence on the Effective Date set forth above and shall continue in effect until Termination Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Mandate without cause by providing written notice to the other party at least days prior to the intended termination date. Termination shall not affect obligations accrued prior to termination.

6. DUTIES AND STANDARD OF CARE

The Mandatary shall keep accurate records of actions taken on behalf of the Principal and shall provide such records to the Principal upon reasonable request.

7. CONFIDENTIALITY

The Mandatary shall maintain in confidence all non-public information received from the Principal in connection with this Mandate and shall not disclose such information except as required by law or with the Principal's prior written consent. This obligation shall survive termination of this Mandate for a period of three (3) years.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full corporate or individual power and authority to enter into and perform its obligations under this Mandate; (b) the execution and delivery of this Mandate has been duly authorized by all necessary action; and (c) this Mandate constitutes a legal, valid and binding obligation enforceable against such party in accordance with its terms.

9. INDEMNIFICATION

The Principal agrees to indemnify and hold harmless the Mandatary and its officers, directors and employees from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from the Mandatary's lawful performance of this Mandate, except to the extent such claims arise from the Mandatary's gross negligence or willful misconduct.

10. NOTICES

All notices required or permitted under this Mandate shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party designates by written notice to the other party.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Mandate shall be effective unless made in a writing signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

12. COUNTERPARTS; ELECTRONIC SIGNATURES

This Mandate may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed binding for all purposes.

13. GOVERNING LAW

This Mandate shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

14. ENTIRE AGREEMENT

This Mandate, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

15. SEVERABILITY

If any provision of this Mandate is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired, and the parties shall negotiate in good faith to substitute for the invalid provision a valid provision that achieves, to the extent possible, the economic, legal and commercial objectives of the invalid provision.
