LEGAL MANUFACTURING WAIVER

This Manufacturing Waiver ("Waiver") is made effective as of by and between Manufacturer Name: , Entity Type: , whose principal place of business is ; and Recipient Name: , Entity Type: , whose principal place of business is .

RECITALS

WHEREAS, Recipient has provided or will provide to Manufacturer certain designs, specifications, tooling, or materials for the manufacture of the product described as (the "Product"); and

WHEREAS, the parties have agreed that Manufacturer may proceed with manufacturing under certain tolerances, substitutions, or process deviations subject to Recipient's express waiver of specified claims and remedies as set forth below; and

WHEREAS, the parties desire to set forth the terms, scope, and limitations of that waiver in writing.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the sufficiency of which is expressly acknowledged, the parties agree as follows:

1. Definitions

For purposes of this Waiver, the following terms shall have the meanings set forth below:

"Product" means the item described in the recitals above and as further identified in Contract/PO No.: .

"Waiver" means the limited release of claims and authorization granted by Recipient in Section 2 below.

2. Scope of Waiver

Subject to the conditions and limitations in this Waiver, Recipient hereby knowingly and voluntarily waives, releases, and discharges Manufacturer from any and all claims, causes of action, liabilities, losses, or damages (including costs and reasonable attorneys' fees) arising out of or relating to the manufacture of the Product that result from the following specified matters:

3. Conditions and Limitations

3.1 Manufacturer shall perform manufacturing in a commercially reasonable manner consistent with industry practices and the specifications provided by Recipient, and shall document any deviation that falls within the waiver parameters described herein.

3.2 This Waiver shall not apply to gross negligence, willful misconduct, fraud, or intentional misrepresentation by Manufacturer.

3.3 The Waiver is limited to the specific Product, tooling, or lot identified in Contract/PO No. and shall not be deemed a general release for future or unrelated production runs.

4. Representations and Warranties

4.1 Recipient represents and warrants that Recipient has authority to grant this Waiver, that it owns or controls the rights necessary to authorize Manufacturer to perform the manufacturing described herein, and that the exercise of this Waiver will not infringe third-party rights to Recipient's knowledge.

4.2 Manufacturer represents and warrants that it will comply with applicable laws and regulations in performing the manufacturing and will maintain commercially reasonable quality control procedures.

5. Indemnification

Recipient shall indemnify, defend and hold Manufacturer harmless from and against any third-party claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of: (a) Recipient-supplied designs, specifications, or materials; (b) Recipient's breach of any representation, warranty, or covenant in this Waiver; or (c) use of the Product outside the scope for which the Waiver was granted.

6. Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or indemnification obligations under Section 5, in no event shall either party be liable to the other for incidental, consequential, punitive, or special damages, and the aggregate liability of either party arising from or relating to this Waiver shall be limited to the total amount paid by Recipient to Manufacturer under the applicable Contract/PO referenced above.

7. Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with the manufacture of the Product and shall not disclose such information to third parties except as required by law or as necessary to perform under this Waiver. Confidential information does not include information that is or becomes generally available to the public other than through a breach of this Section.

8. Term; Termination

This Waiver shall commence on the Effective Date and shall remain in effect solely for the production run(s) and lot(s) identified in Section 3, unless earlier terminated by mutual written agreement of the parties. Termination shall not relieve Recipient of any obligations accrued prior to termination, including indemnity obligations.

All notices required or permitted under this Waiver shall be in writing and delivered to the parties at the following contact information:

10. Amendments; Waiver; Counterparts

10.1 No amendment, modification or waiver of any provision of this Waiver shall be effective unless in writing and signed by authorized representatives of both parties.

10.2 The failure of either party to enforce any right or remedy under this Waiver shall not constitute a waiver of that right or remedy or any other right or remedy.

10.3 This Waiver may be executed in counterparts and by electronic signature, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

11. Governing Law; Entire Agreement; Severability

11.1 Governing Law. This Waiver shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

11.2 Entire Agreement. This Waiver, together with any referenced Contract/PO identified above, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the same subject matter.

11.3 Severability. If any provision of this Waiver is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the parties' intent.
