LEGAL MATTER RE-SEND

RECITALS

WHEREAS, on or about the Sending Party transmitted certain documents and communications identified below (the "Original Transmission") to the Recipient by the method indicated at the time of original transmission; and

WHEREAS, the parties have determined that the Original Transmission did not result in confirmed receipt, or there exists an administrative need to re-send one or more of such documents; and

WHEREAS, the parties desire to confirm the re-send of such documents, establish the means and date of re-sending, and set forth the certification and acknowledgement obligations of the parties with respect to such re-send.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

1.1 "Sending Party" means the party transmitting documents or communications for which a re-send is necessary. 1.2 "Recipient" means the party to whom the Sending Party re-sends documents. 1.3 "Resend Date" means the date on which the Sending Party effects the re-send in accordance with Section 2.

2. Re-Send; Documents

2.1 Re-Send Obligation. The Sending Party shall re-send the documents described below to the Recipient on or before .

3. Method of Re-Send and Certification

3.1 Re-Send Method. The Sending Party shall use the following method(s) to effect the re-send (check all applicable):

4. Recipient Acknowledgment and Response

4.1 The Recipient shall acknowledge receipt of the re-sent Documents in writing no later than calendar days after the Resend Date.

4.2 Acknowledgement may be delivered by the Recipient by written notice to the address set forth in the Notices section below or by electronic confirmation to the Sending Party's designated electronic address.

5. Confidentiality

All Documents re-sent pursuant to this Agreement shall remain subject to any confidentiality or protective orders, agreements, or obligations applicable at the time of re-send. Neither party shall disclose the contents of re-sent Documents except as permitted by law or further written agreement of the parties.

6. Indemnification and Limitation of Liability

The Sending Party shall indemnify and hold harmless the Recipient from third-party claims directly arising from negligent handling of the re-send; provided, however, the Sending Party's liability under this Agreement shall be limited to actual direct damages and shall not include consequential, incidental, punitive or exemplary damages.

7. Notices

Any notice required or permitted by this Agreement shall be given in writing and delivered to the addresses indicated below or to such other address as either party may specify in writing in accordance with this section. Notice is effective upon personal delivery, or, if mailed, three business days after deposit in the United States mail with postage prepaid, or upon confirmation of electronic transmission.

8. Amendments; Waiver; Counterparts

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

9. Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
