This Memorandum does not constitute ongoing representation beyond the scope expressly described herein.

1.2 Scope. Counsel's analysis is limited to the statutes, regulations, and authorities cited and to the facts presented in Section 4. Counsel has not performed independent factual investigation unless expressly stated in this Memorandum.

7.1 Confidentiality. This Memorandum, including all drafts, exhibits and attachments, is confidential and is prepared solely for the benefit and internal use of the Client. The Client shall not disclose this Memorandum, in whole or in part, to any third party without the prior written consent of Counsel, except as required by law or regulation.

7.2 Limitation on Use. This Memorandum may not be used, circulated or relied upon by any person other than the Client. Any third party receiving this Memorandum does so without the authority of Counsel and Counsel disclaims any duty to such third parties.

8. NO GUARANTEE; LIMITATION OF LIABILITY

8.1 No Guarantee. Counsel does not warrant or guarantee any particular outcome. Legal opinions are necessarily predictions subject to uncertainties in law and fact.

8.2 Limitation of Liability. Except to the extent prohibited by applicable law, Counsel's liability arising out of or relating to this Memorandum shall be limited to amounts actually paid by the Client for the preparation of this Memorandum. In no event shall Counsel be liable for consequential, incidental, punitive or special damages.

9. NOTICES

All notices, demands or communications required or permitted under this Memorandum shall be in writing and given to the parties at their respective addresses set forth below by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested.

10. AMENDMENTS; WAIVER; COUNTERPARTS

10.1 Amendments. Any amendment to this Memorandum must be in writing and signed by both parties.

10.2 Waiver. No waiver of any provision of this Memorandum shall be effective unless in writing and signed by the party waiving compliance. No waiver of any breach shall constitute a waiver of any subsequent breach.

10.3 Counterparts and Electronic Signatures. This Memorandum may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument. Signatures transmitted electronically or by facsimile shall be binding.

11. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

11.1 Governing Law. This Memorandum and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of State: without regard to principles of conflict of laws.

11.2 Severability. If any provision of this Memorandum is held to be invalid or unenforceable, the remainder of this Memorandum shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely matches the parties' intent.

11.3 Entire Agreement. This Memorandum constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral, relating thereto.
