Now, therefore

In consideration of the mutual covenants and other good and valuable consideration, the Parties agree as follows:

1. Definitions

For purposes of this Form: "Affected Documents" means the documents, agreements, amendments, schedules, exhibits and related instruments identified in Section 2 below; "Missing Signature(s)" means those signatures expressly identified in Section 2; "Cure Date" means the date on which the missing signature(s) are executed on this Form.

Each Party hereby acknowledges the existence of the Missing Signature(s) and confirms that such omission was inadvertent and not intended to alter the Parties' agreement. By executing this Form, the Party(ies) whose signatures were previously missing hereby ratify, confirm and adopt the Affected Documents in all respects and agree that the Affected Documents shall be deemed valid, binding and of full force and effect as of the original execution date, except as expressly modified herein.

The Parties agree that the Cure Date for the Missing Signature(s) shall be: .

The Parties agree that the execution of this Form by the identified signatory(ies) constitutes a cure of any technical defect and shall have the same legal effect as if the missing signature(s) had been affixed to the Affected Documents on the original execution date, subject to any express limitations set forth herein.

5. Representations and Warranties

Each Party represents and warrants to the other that: (a) it has full corporate or individual authority to enter into this Form; (b) the person executing this Form on its behalf is duly authorized; (c) this Form constitutes a legal, valid and binding obligation enforceable in accordance with its terms; and (d) the execution and delivery of this Form does not violate or constitute a default under any other agreement to which such Party is subject.

The Parties acknowledge and agree that the mutual promises and covenants set forth in this Form constitute sufficient consideration for the ratification and cure provided herein, the receipt and sufficiency of which are hereby acknowledged.

7. Notices

All notices and communications required or permitted under this Form shall be in writing and delivered to the Parties at the addresses set forth below (or to such other address as either Party may designate by written notice to the other).

8. No Admission; Non-Waiver

Nothing in this Form shall be construed as an admission of liability by any Party or as a waiver of any rights, defenses or claims available to any Party prior to the Cure Date, except as expressly set forth in this Form. No waiver shall be effective unless in writing and signed by the Party granting the waiver.

9. Governing Law; Venue

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of any disputes arising under this Form.

10. Entire Agreement; Severability

This Form constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes any prior oral or written agreements relating to the curing of the Missing Signature(s). If any provision of this Form is determined to be invalid or unenforceable, such determination shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

11. Amendments; Counterparts; Electronic Signatures

This Form may be amended only by a written instrument signed by authorized representatives of both Parties. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
