LEGAL MODEL RELEASE FORM

This Model Release Agreement (the "Agreement") is made on Date: by and between Producer Name: whose principal place of business and mailing address is (hereinafter "Producer"), and Model Name: residing at (hereinafter "Model").

RECITALS

WHEREAS, Producer engages in photography, videography, audio recording, and related media production and desires to obtain the right to use the Model's name, likeness, voice and performance in connection with the project described as ;

WHEREAS, Model has agreed to participate in the foregoing production on the date(s) of Month: Day: Year: at location ;

WHEREAS, the parties desire to set forth the terms under which the Producer may record, use and exploit the Model's likeness and related rights.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. GRANT OF RIGHTS

Model hereby irrevocably grants and assigns to Producer, its licensees, successors and assigns, the exclusive, perpetual, worldwide, transferable, sublicensable, royalty-free right and license to photograph, record, reproduce, publish, distribute, display, perform, broadcast, digitize, adapt, modify and otherwise use Model's name, image, likeness, voice, performance and biographical material (collectively, "Materials") in any and all media now known or hereafter devised for any purpose whatsoever including, without limitation, advertising, promotional, commercial, editorial, trade, educational and archival purposes. This grant includes the right to create derivative works and to alter or composite the Materials, and the right to use Model's name and any biographical material in connection with the Materials.

2. CONSIDERATION

3. REPRESENTATIONS AND WARRANTIES

Model represents and warrants that Model is of full legal age and has the full right, power and authority to enter into this Agreement, to grant the rights granted herein and to perform all obligations set forth herein. Model further represents that no other party's consent or authorization is required for Producer's use of the Materials as described in this Agreement, and that Model's performance and this Agreement will not violate any contract, obligation, right or law to which Model is subject.

If Model is under the age of eighteen (18) years, Model represents that a parent or legal guardian has read and agrees to the terms of this Agreement on Model's behalf. Model confirms minority status by checking below: Model is a minor

4. MORAL RIGHTS; WAIVER

Model hereby irrevocably waives any and all moral rights, rights of attribution and rights of integrity in the Materials to the maximum extent permitted by applicable law. Model also waives the right to inspect or approve any finished product or the advertising copy that may be used in connection therewith.

5. RELEASE AND INDEMNITY

Model hereby releases, discharges and agrees to hold harmless Producer and its affiliates, licensees, successors, assigns, employees, agents and contractors from any and all claims, demands, liabilities, causes of action, suits, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in connection with the use of the Materials, including but not limited to claims for libel, invasion of privacy, right of publicity or emotional distress, except to the extent such claims arise from Producer's willful misconduct.

6. CREDIT

Producer may, but is not obligated to, provide credit to Model as follows: If no credit is specified, Producer shall have no obligation to provide credit.

7. TERM; SURVIVAL

This Agreement shall commence on the date first written above and shall continue in perpetuity. The rights granted herein and the obligations and warranties of the parties shall survive termination or expiration of this Agreement.

8. NOTICES

All notices or other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the address for each party set forth below or to such other address as either party may designate by notice:

9. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in the county of the governing state selected above.

10. ENTIRE AGREEMENT; AMENDMENT; WAIVER; SEVERABILITY; COUNTERPARTS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment, modification or waiver shall be effective unless in writing and signed by both parties. No waiver of any breach shall be a waiver of any subsequent breach. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

11. MISCELLANEOUS PROVISIONS

The parties agree that Producer may assign or transfer its rights under this Agreement to any third party. Producer shall have no obligation to destroy or return originals or copies of the Materials. Model acknowledges that Producer's exercise of rights hereunder may result in substantial and potentially irreversible exploitation of the Materials and that Producer shall have no continuing duty to Model with respect thereto.
