RECITALS

WHEREAS, Seller is the lawful owner of the motor vehicle described below and has the right to sell and transfer title to that vehicle; and

5. TAXES, FEES AND REGISTRATION

Unless otherwise agreed in writing, Buyer shall be responsible for all transfer taxes, registration fees and title recording fees resulting from the transfer of title. Seller shall cooperate in executing documents reasonably necessary to effectuate transfer of title.

6. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any liabilities, losses, claims, damages and expenses (including reasonable attorneys' fees) arising out of a breach of that party's representations, warranties or agreements under this Agreement, except to the extent caused by the negligence or willful misconduct of the indemnified party.

7. DEFAULT AND REMEDIES

If Buyer fails to timely pay the Purchase Price or other sums due, Seller may retain any deposit as liquidated damages and pursue other remedies permitted by law. If Seller fails to deliver clear title as required, Buyer may seek specific performance, rescission, damages or other remedies available at law or in equity.

All notices, demands or other communications required or permitted hereunder shall be in writing and shall be deemed given when delivered personally or sent by certified mail, return receipt requested, to the addresses set forth below or to such other address as a party may designate by written notice:

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision hereof shall be effective unless in writing and signed by the party against whom enforcement is sought. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
