RECITALS

1. AMENDMENT TO AGREEMENT

1.1 Amendment. 2. REPRESENTATIONS AND CERTIFICATIONS

2.1 Authority. The party making this change represents and warrants that it has the full corporate or individual power and authority to execute this Addendum and to carry out the actions contemplated herein.

3.1 Notice. The party whose name has changed shall provide to the other party a certified copy of the supporting documentation within thirty (30) days of the effective date of the name change. Failure to provide such documentation shall not relieve the party of its obligations under the Agreement, but may limit the receiving party's obligation to effect administrative changes until verification is provided.

3.2 Records. Each party shall update its internal records, accounting entries, payment instructions, and any public or regulatory filings as required to reflect the name change, and shall cooperate in executing any further instruments reasonably necessary to effect such updates.

4. NOTICES

All notices required under this Addendum shall be given in the manner provided in the Agreement, addressed to the parties at the addresses set forth above unless another address is specified in writing.

5. MISCELLANEOUS

5.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules.

5.2 Entire Agreement. Except as expressly modified hereby, the Agreement remains unmodified and in full force and effect. This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof.

5.3 Severability. If any provision of this Addendum is held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this Addendum and this Addendum shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.

5.4 Amendments; Waiver. No amendment or waiver of any provision of this Addendum shall be effective unless in writing and signed by both parties. The waiver by either party of a breach of any provision shall not operate or be construed as a waiver of any subsequent breach.

5.5 Counterparts and Electronic Execution. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. A facsimile, portable document format (PDF) or electronic signature shall be deemed an original for all purposes.
