RECITALS

WHEREAS, the Client seeks to clarify legal objectives, key facts, potential risks, and an initial scope of work to inform a potential engagement; and

WHEREAS, the Firm conducts a structured analysis of matters presented by prospective clients to assess conflicts, required resources, timelines, and fee estimates before a formal engagement agreement may be executed; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

"Client Materials" means documents, communications and other information provided by the Client to the Firm for the Analysis.

2. SCOPE OF ANALYSIS

The Firm will conduct an initial analysis limited to fact review, identification of legal issues, suggested strategies, an initial document checklist, and an estimate of fees and timeline. This Analysis does not constitute legal representation for litigation, transactional closing, or other legal services until a separate, written engagement agreement is executed.

3. OBJECTIVES, RISKS AND PRIORITIES

The Client shall identify principal objectives and acceptable outcomes. The Firm shall identify foreseeable material risks and the priority level for immediate action. The Analysis will include recommended near-term steps and whether preservation of rights or evidence is necessary.

4. DOCUMENTS AND INFORMATION REQUESTED

The Firm requests the following documents to complete the Analysis. The Client represents that documents provided are complete to the Client's knowledge and that the Client will promptly supplement materials if additional relevant information is discovered.

5. CONFLICTS, RETENTION AND PRIVILEGE

By submitting Client Materials, the Client authorizes the Firm to perform a conflicts check and to retain copies of Client Materials for the limited purpose of evaluation. The Client acknowledges that no attorney-client relationship is formed by this Form alone and that confidentiality and privilege attach only as permitted by law and any subsequently executed engagement letter.

6. FEES, BUDGET ESTIMATE AND PAYMENT

Any fee ranges or hourly rates provided by the Firm in the Analysis are preliminary and non-binding estimates intended for planning purposes only. A precise fee arrangement will be set forth in a written engagement agreement if the parties elect to proceed.

7. TIMELINE AND MILESTONES

The Firm will propose an estimated timeline as part of the Analysis. Timelines are subject to change based on receipt of Client Materials, opposing party actions, regulatory processes, and other contingencies.

8. CLIENT RESPONSIBILITIES

The Client agrees to provide complete and accurate information, responsive documents, and timely decisions necessary for the Analysis. Failure to do so may result in revised recommendations or inability to complete a meaningful Analysis.

9. LIMITATION — NO ATTORNEY-CLIENT RELATIONSHIP

The parties acknowledge that completion of this Analysis does not, by itself, create an attorney-client relationship. No legal advice is formally provided until the Firm and Client execute a separate engagement letter specifying scope, fees, and terms of representation. The Firm may decline representation after completing its Analysis.

10. NOTICES

All notices required or permitted under this Form shall be in writing and delivered to the addresses below. Notice is effective upon receipt.

11. AMENDMENTS, WAIVER, COUNTERPARTS

This Form may be amended only by a written instrument signed by both parties. No waiver of any provision will be effective unless in writing and signed. This Form may be executed in counterparts, each of which constitutes an original, and facsimile or electronic copies of signatures shall be treated as originals.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Form shall be governed by the laws of the state specified in the engagement letter or, if none exists, the state of the Firm's principal place of business. This Form constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

ACKNOWLEDGMENT

The Client certifies that the information provided in this Form is true and accurate to the best of the Client's knowledge. The Client authorizes the Firm to undertake necessary preliminary steps, including conflicts checks and limited inquiries, to complete the Analysis.
