Legal NELP Renewal Form

This Renewal Agreement (the Renewal) is made effective as of Effective Date: by and between Client Name: , whose principal address is , and NELP Provider: , whose principal address is . Each of Client and Provider may be referred to individually as a Party and collectively as the Parties.

Recitals

WHEREAS, the Parties entered into an existing NELP Agreement dated (the Original Agreement) governing the provision of certain non-employee legal services and related obligations; and

WHEREAS, the Parties desire to renew and extend the Term of the Original Agreement upon the terms and conditions set forth herein and to confirm certain administrative and service provisions for the Renewal Term; and

WHEREAS, the Parties intend that this Renewal be effective as a contractual amendment and continuation of the Original Agreement subject to the terms below.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the Parties agree as follows:

1. Definitions

For purposes of this Renewal, capitalized terms not otherwise defined have the meanings assigned in the Original Agreement. In addition, the following terms shall have the meanings set forth below: "Renewal Term" means the period set forth in Section 2; "Services" means the scope described in Section 3; "Fees" means compensation set out in Section 4.

2. Renewal Term

The Original Agreement is hereby renewed for a Renewal Term commencing on Renewal Commencement Date: and ending on Renewal Expiration Date: , unless earlier terminated in accordance with the Original Agreement or this Renewal.

3. Scope of Services

Provider shall continue to perform the Services described in the Original Agreement, subject to any modifications specified below. Any material expansion of Services shall be documented in a written amendment signed by both Parties.

4. Fees; Payment

Client shall pay Provider the Fees for the Renewal Term as follows. Unless otherwise agreed in writing, Fee adjustments for the Renewal Term shall not exceed the percentage set forth in this Section.

5. Confidentiality

Except as otherwise required by law, the Parties shall treat Confidential Information in accordance with the confidentiality provisions of the Original Agreement. Provider covenants to maintain the confidentiality of Client materials and shall not disclose such information except to its personnel who have a need to know and who are bound by confidentiality obligations no less protective than those contained in the Original Agreement.

6. Compliance; Representations and Warranties

Each Party represents and warrants that (a) it has full power and authority to enter into this Renewal, (b) this Renewal constitutes a valid and binding obligation enforceable in accordance with its terms, and (c) performance of this Renewal and the services contemplated will comply with applicable laws, rules, and regulations.

7. Indemnification

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors, employees and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying Party's breach of this Renewal or negligence or willful misconduct in performing its obligations hereunder.

8. Insurance

Provider shall maintain insurance coverage consistent with industry standards and as required by the Original Agreement. Minimum coverages required for the Renewal Term are set forth below.

9. Notices

All notices required or permitted under this Renewal shall be in writing and sent to the addresses set forth below or to such other address as either Party may designate by notice in accordance with this Section.

10. Amendments; Waiver

No amendment to this Renewal shall be effective unless it is in writing and signed by authorized representatives of both Parties. No waiver of any breach shall constitute a waiver of any other or subsequent breach.

11. Counterparts

This Renewal may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed original signatures for all purposes.

12. Governing Law

This Renewal shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

13. Entire Agreement

Except as expressly modified by this Renewal, the Original Agreement remains in full force and effect. This Renewal constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior negotiations, representations or agreements, written or oral, regarding the Renewal subject matter.

14. Severability

If any provision of this Renewal is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid provision that achieves, to the extent possible, the original economic and legal effect of the invalid provision.

15. Certification of Authority

Each signatory below certifies that he or she is authorized to execute this Renewal on behalf of the Party for which he or she signs and that by so signing, such Party is bound by the terms of this Renewal.
