3. REPRESENTATIONS AND WARRANTIES

3.1 Issuer represents and warrants that it is authorized to issue this Certificate with respect to the matter stated herein and that, to Issuer's knowledge, it has no outstanding objection that would materially and adversely affect the Recipient’s ability to proceed with the authorized action.

3.2 Recipient represents and warrants that it will use this Certificate only in connection with the authorized action and will not rely on this Certificate for any other purpose.

4. INDEMNITY; LIMITATION OF LIABILITY

4.1 Recipient shall indemnify, defend and hold harmless Issuer, its officers, directors and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorney fees) arising out of or in connection with Recipient's use of this Certificate or the authorized action, except to the extent caused by Issuer's gross negligence or willful misconduct.

4.2 IN NO EVENT SHALL ISSUER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS CERTIFICATE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ISSUER'S AGGREGATE LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES PROVEN BY RECIPIENT AND CAUSALLY RELATED TO ISSUER'S BREACH, NOT TO EXCEED THE AMOUNT OF FEES, IF ANY, PAID BY RECIPIENT TO ISSUER IN CONNECTION WITH THIS CERTIFICATE.

5. TERM; REVOCATION

5.1 This Certificate shall be effective as of the Effective Date and shall remain in effect until the earlier of (a) completion of the authorized action, (b) the expiration date specified here: , or (c) revocation in accordance with Section 5.2.
