RECITALS

WHEREAS, Party A and Party B desire to record, acknowledge, or otherwise effectuate an instrument, agreement or other written act (the Instrument) that requires a sworn acknowledgment, notarial certification or official notarization to be admissible or effective under applicable law; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Instrument" means the written document, deed, affidavit, acknowledgment, or other record identified by the parties that is to be notarized and attached to this Agreement. Instrument description:

2. EXECUTION AND NOTARIZATION

2.1 Each party shall execute the Instrument in the presence of a duly commissioned notary public or other official authorized to administer oaths in the jurisdiction where the Instrument is executed. The executing party shall appear in person and provide satisfactory evidence of identity as required by law.

2.2 The notarial certificate appended to the Instrument shall state the notary's jurisdiction, the date of notarization, the printed name of the person appearing, the type of identification produced and, where required, the notary's commission number and expiration date.

3. REPRESENTATIONS AND WARRANTIES

3.1 Each party represents and warrants to the other that: (a) it has full power and authority to enter into and perform this Agreement; (b) the person executing the Instrument on behalf of a party is authorized to do so; and (c) the execution and notarization of the Instrument will not violate any agreement, law or order binding on such party.

4. NOTARY ACKNOWLEDGMENT AND CERTIFICATION

4.1 The parties request and consent that a notary public execute a certificate in substantially the following form at the time of notarization. The notary certificate shall be completed in full, with all blanks answered truthfully and in accordance with the facts of the appearance.

5. CONFIDENTIALITY

5.1 Except as required by law or as necessary to give effect to the notarization, the parties shall not disclose the contents of the Instrument or the fact of its notarization to third parties without the prior written consent of the other party.

6. INDEMNIFICATION

6.1 Each party agrees to indemnify, defend and hold harmless the other party and any notary public from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of any misrepresentation of fact, fraud, forgery, or false statement made by the indemnifying party in connection with the Instrument or its notarization.

7. LIMITATION OF LIABILITY

7.1 EXCEPT FOR INDEMNIFICATION OBLIGATIONS ARISING FROM FRAUD OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE NOTARIZATION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

8. TERM AND TERMINATION

8.1 This Agreement shall become effective on the Effective Date and shall remain in effect until the Instrument has been duly executed, notarized and delivered in accordance with the terms hereof, unless earlier terminated by written agreement of the parties.

10. AMENDMENTS; WAIVER; COUNTERPARTS

10.1 No amendment, modification or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by both parties. The failure of either party to enforce any provision shall not constitute a waiver of that provision or any other provision.

10.2 This Agreement may be executed in counterparts and by electronic signature, each of which when executed and delivered shall be deemed an original, but all of which together shall constitute one and the same instrument.

11. GOVERNING LAW

11.1 This Agreement shall be governed by and construed in accordance with the substantive laws of the state specified below, without regard to choice-of-law principles.

12. ENTIRE AGREEMENT; SEVERABILITY

12.1 This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect.
