LEGAL NOTICE OF AGENT

This Legal Notice of Agent (the "Notice") is made on this day of , by and between Principal Name: a whose principal place of business or residence is (Principal), and Agent Name: a whose address for service is (Agent). RECITALS

1. APPOINTMENT

1.1 Appointment. Principal hereby appoints Agent as Principal's agent solely for the purpose of receiving legal notices, demands, correspondence, and service of process (collectively, "Notices") related to Principal's matters specified in Section 2. Agent accepts such appointment on the terms set forth in this Notice.

2. SCOPE OF AUTHORITY

2.1 Scope. Agent's authority under this Notice is limited to accepting delivery of Notices on behalf of Principal and forwarding Copies of such Notices to Principal in accordance with Section 3. Agent shall not, by virtue of this appointment, have authority to make decisions, enter into agreements, compromise claims, appear in litigation, or otherwise bind Principal except to acknowledge receipt of a Notice.

2.2 Description of matters covered. Notices subject to this appointment include: (a) service of process in civil or administrative actions; (b) demand letters; and (c) formal notices required by statute or contract relating to Principal's operations identified as:

3.1 Forwarding Obligation. Agent shall, within business days of receipt, forward to Principal at the address designated below a true and complete copy of any Notice received by Agent.

4. TERM AND TERMINATION

4.1 Term. This Notice shall become effective as of the effective date set forth above and shall continue in effect until terminated as provided below.

4.2 Termination. Either Party may terminate this Notice upon days' prior written notice to the other Party. Termination shall not relieve Principal of its obligations with respect to any Notice received by Agent prior to the effective date of termination.

5. LIMITATIONS AND REPRESENTATIONS

5.1 Limitations. Agent shall have no duty to investigate the validity of or to contest any Notice. Agent shall not be deemed an attorney for Principal by reason of this appointment and shall not render legal advice.

5.2 Representations. Each Party represents and warrants that it has full authority to enter into this Notice and to perform its obligations hereunder. Principal represents that the appointment of Agent does not violate any agreement or law to which Principal is subject.

6. INDEMNIFICATION; FEES

6.1 Indemnification. Principal shall indemnify, defend and hold harmless Agent and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs or expenses (including reasonable attorneys' fees) arising out of or relating to Agent's acting pursuant to this Notice, except to the extent caused by Agent's gross negligence or willful misconduct.

6.2 Fees and Expenses. Agent shall be entitled to compensation for services and reimbursement of reasonable expenses as agreed in writing by the Parties. If no prior agreement exists, Principal shall reimburse Agent for reasonable costs incurred in receiving and transmitting Notices.

7. NOTICES

7.1 Method. Except as otherwise provided in this Notice, any notice required or permitted under this Notice shall be in writing and shall be delivered by personal delivery, nationally recognized overnight courier, certified mail (return receipt requested), or electronic mail to the addresses specified in Section 3, and shall be effective upon receipt.

8. MISCELLANEOUS

8.1 Governing Law. This Notice shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the Parties. The Parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising out of this Notice.

8.2 Entire Agreement. This Notice constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the Parties, whether written or oral.

8.3 Severability. If any provision of this Notice is held invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

8.4 Amendments; Waiver. No amendment or waiver of any provision of this Notice shall be effective unless in a written instrument signed by both Parties. Failure or delay by either Party to enforce any right shall not operate as a waiver of that right.

8.5 Counterparts. This Notice may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be binding as originals.
