LEGAL NOTICE OF WITHDRAWAL

1. WITHDRAWAL

Effective as of the Effective Date specified above, Withdrawing Party hereby withdraws from the Engagement and shall cease all further performance on behalf of Recipient Party, except as expressly set forth in this Notice or as required by applicable law to effect an orderly transition. Withdrawal shall not relieve any party of obligations accrued prior to the Effective Date.

2. EFFECTIVE DATE

The Effective Date of withdrawal shall be the date specified in the opening paragraph, unless the parties agree in writing to an alternate effective date. Any alternate effective date must be evidenced by a written amendment signed by both parties.

3. TRANSFER OF FILES AND DOCUMENTS

Within days following the Effective Date, Withdrawing Party shall deliver to Recipient Party or its designee all original documents, client files, work product, and other materials reasonably necessary for the continuation or winding up of the Engagement, except to the extent retention is required by law or ethical obligations.

4. OUTSTANDING OBLIGATIONS

The parties acknowledge and agree that obligations outstanding as of the Effective Date, including but not limited to fees, disbursements, expenses, and any accrued liabilities, shall survive this Notice. Withdrawing Party shall render a final accounting and invoice for services rendered through the Effective Date within days of the Effective Date.

5. CONFIDENTIALITY; ETHICAL OBLIGATIONS

Both parties shall continue to comply with all confidentiality obligations applicable to the Engagement. Nothing in this Notice shall permit Withdrawing Party to disclose privileged or confidential information except as required by law or with the express written consent of Recipient Party. Withdrawing Party shall comply with all applicable ethical rules governing withdrawal, including notification to third parties and appropriate authorities where required.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that (a) it has full corporate or other organizational power and authority to enter into and perform its obligations under this Notice; (b) the execution and delivery of this Notice has been duly authorized by all necessary action; and (c) this Notice constitutes a valid, binding and enforceable obligation of such party.

7. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Notice or its negligence or willful misconduct in connection with the Engagement prior to or following withdrawal, except to the extent caused by the indemnitee's own gross negligence or willful misconduct.

8. NOTICES

All notices and communications required or permitted under this Notice shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice to the other party in accordance with this section. Notice shall be effective upon receipt.

9. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the state whose name appears below, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein for any dispute arising under this Notice.

10. ENTIRE AGREEMENT

This Notice constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to the withdrawal and transition described herein.

11. SEVERABILITY

If any provision of this Notice is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid provision that most closely accomplishes the intent of the original provision.

12. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Notice shall be effective unless in writing and signed by both parties. No failure or delay by either party to exercise any right or remedy shall constitute a waiver of such right or remedy.

13. COUNTERPARTS
