5. REMEDIES, ATTORNEYS' FEES, AND COSTS

If the Recipient fails to cure the alleged breach within the Cure Period, the Sender may exercise any and all remedies available under the Agreement and at law or in equity, including without limitation the right to terminate the Agreement, seek specific performance or injunctive relief, recover damages, and recover reasonable attorneys' fees, costs, and expenses incurred in enforcing its rights. The Recipient shall be liable to the Sender for all such recoverable amounts, including collection costs and interest where permitted by the Agreement or law.

6. EFFECT OF FAILURE TO CURE

Failure to timely cure the alleged breach by the Cure Deadline shall constitute a continuing breach and may result in acceleration, termination, withholding of payments, suspension of rights under the Agreement, and pursuit of any remedies available at law or in equity. The Sender's exercise of any remedy will be without prejudice to any other remedies it may have.

7. CONFIDENTIALITY

To the extent that this Notice or any response contains confidential or proprietary information, the parties shall maintain confidentiality in accordance with the confidentiality provisions of the Agreement. Disclosure is permitted where required by law or to enforce rights under the Agreement.

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and delivered to the addresses set forth below (or to such other address as a party may specify by notice in accordance with this Section). 9. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Notice will be effective unless in writing and signed by the party against whom enforcement is sought. No failure or delay by the Sender in exercising any right or remedy will operate as a waiver thereof. This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the state specified by the parties. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of any disputes arising out of this Notice or the Agreement.
