RECITALS

WHEREAS, the Affiants are requested to affirm the truthfulness and completeness of certain statements and documents related to the transaction or matter described below; and

WHEREAS, the Affiants acknowledge that this oath is made for the purpose of inducing reliance by the other party or parties and may be filed, recorded, or used in judicial or administrative proceedings; and

NOW, THEREFORE, in consideration of the foregoing and for other good and valuable consideration, the sufficiency of which is acknowledged, the Affiants hereby covenant and agree as follows:

1. OATH OF TRUTHFULNESS

Each Affiant states under oath and under penalty of perjury that all factual statements, representations, and attachments furnished in connection with the related instrument are true, accurate, and complete to the best of that Affiant's knowledge and belief. Affiants acknowledge that knowingly making a false statement in a sworn instrument is subject to criminal penalty under applicable law.

2. JURISDICTION AND VENUE

3. REPRESENTATIONS AND WARRANTIES

Each Affiant represents and warrants that: (a) the person executing this Oath is competent and authorized to make these statements; (b) no material fact known to the Affiant has been omitted; and (c) any documents attached are true copies of the originals unless stated otherwise.

4. PENALTIES FOR PERJURY

Affiants acknowledge that this Oath is a sworn statement subject to penalties for perjury under the laws of the jurisdiction identified herein. In addition to criminal penalties, Affiants acknowledge that civil remedies and sanctions, including but not limited to rescission, damages, and attorney's fees, may be sought by any party harmed by a false or misleading sworn statement.

5. NOTICES

Any notice required or permitted under this Oath shall be in writing and delivered to the address set forth below for each Affiant or to such other address as a party may designate in writing in accordance with this section.

6. AMENDMENT; WAIVER

No amendment or waiver of any provision of this Oath shall be effective unless in writing and signed by all parties. The failure of any party to enforce any provision shall not constitute a waiver of that provision or any other.

7. COUNTERPARTS

This Oath may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures provided by electronic means shall be valid and binding to the same extent as original signatures.

8. GOVERNING LAW

This Oath shall be governed by and construed in accordance with the laws of the jurisdiction set forth in Section 2, without regard to conflict of law principles that would apply the laws of another jurisdiction.

9. ENTIRE AGREEMENT; SEVERABILITY

This Oath constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, and representations, whether written or oral. If any provision of this Oath is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
