LEGAL ONE PAGE AGREEMENT

2. SCOPE OF OBLIGATIONS

3. COMPENSATION

5. CONFIDENTIALITY

6. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Party A retains ownership of preexisting intellectual property and grants Party B a nonexclusive, worldwide, royalty-free license to use any Deliverables solely for the purpose set forth in this Agreement. Any transfer of ownership of newly created works must be expressly documented in writing.

7. REPRESENTATIONS AND WARRANTIES

Each party represents that it has the full power and authority to enter into this Agreement and that performance will not violate any agreement with a third party. PARTY A WARRANTS THAT DELIVERABLES WILL CONFORM SUBSTANTIALLY TO THE SPECIFICATIONS SET FORTH HEREIN FOR A PERIOD OF 60 DAYS AFTER DELIVERY.

8. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

9. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S WILLFUL MISCONDUCT OR BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY PARTY B TO PARTY A UNDER THIS AGREEMENT.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, overnight courier, or personal delivery. Notices are effective upon receipt.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified here: , without regard to its conflict of laws principles.

13. ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules incorporated by reference, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

15. COUNTERPARTS
