LEGAL ORDER FORM

This Legal Order Form ("Order") is entered into as of by and between Ordering Party: , Address: (hereafter "Purchaser"), and Supplier: , Address: (hereafter "Supplier").

RECITALS

WHEREAS, Purchaser desires to procure certain goods and/or services as specified in this Order and any attachments or specifications incorporated herein; and

WHEREAS, Supplier represents that it has the capability, capacity and expertise to supply the goods and/or perform the services in accordance with the terms, specifications and delivery schedule set forth in this Order; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the purchase and sale embodied in this Order.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

1. DEFINITIONS

1.1 "Order" means this Legal Order Form and any schedules, attachments or specifications expressly incorporated by reference. "Goods" means the tangible items described in Section 4. "Services" means the services described in the Order. "Acceptance" means Purchaser's written acceptance pursuant to Section 6.

2. ORDER AND ACCEPTANCE

2.1 Supplier shall accept this Order by executing this document and returning a signed copy to Purchaser or by commencing performance. Acceptance constitutes Supplier's unqualified agreement to furnish the Goods and/or Services in accordance with this Order and the attached specifications.

2.2 No terms proposed by Supplier in any acknowledgement, invoice, or other communication shall add to or vary the terms of this Order unless expressly agreed in a written amendment signed by authorized representatives of both parties.

5. PRICE; PAYMENT

5.1 Prices for the Goods and Services are as set forth in this Order. Unless otherwise stated, prices are exclusive of applicable taxes, duties and shipping, which shall be the responsibility of Purchaser unless indicated otherwise.

5.2 Payment terms: Purchaser shall pay Supplier within days from receipt of an invoice that complies with this Order. If earlier, Supplier shall be entitled to invoice upon shipment or performance as specified.

6. DELIVERY; TITLE; RISK

6.1 Supplier shall deliver the Goods in accordance with the delivery schedule set forth in this Order. Requested delivery date:

6.2 Title and risk of loss shall pass to Purchaser upon delivery and acceptance, unless otherwise agreed in writing.

7. INSPECTION AND ACCEPTANCE

7.1 Purchaser shall have the right to inspect the Goods within days after delivery. If Goods fail to conform to the Order or applicable specifications, Purchaser may reject such Goods and Supplier shall, at Purchaser's option, promptly replace or correct defective Goods at Supplier's expense.

8. WARRANTIES

8.1 Supplier warrants that all Goods and Services will: (a) conform to the specifications, samples and descriptions provided; (b) be free from defects in material and workmanship; and (c) be fit for the intended purpose. The warranty period shall be the longer of the manufacturer's standard warranty or months from acceptance.

9. INDEMNIFICATION; LIMITATION OF LIABILITY

9.1 Supplier shall indemnify, defend and hold harmless Purchaser from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Supplier's breach, negligence, willful misconduct, or infringement of third-party intellectual property rights in connection with the Goods or Services.

9.2 Except for liability arising from willful misconduct, personal injury, death, or Supplier's indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

10. CONFIDENTIALITY

10.1 Each party shall maintain the confidentiality of non-public information disclosed by the other party in connection with this Order and shall not disclose such information except as required by law or with the disclosing party's prior written consent. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party.

11. TERMINATION

11.1 Either party may terminate this Order for material breach if the breaching party fails to cure within thirty (30) days after written notice specifying the breach. Purchaser may terminate this Order in whole or in part for convenience upon written notice to Supplier, in which case Supplier shall be entitled to payment for conforming work performed and reasonable substantiated costs incurred prior to termination.

12. NOTICES

All notices under this Order shall be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, certified mail (return receipt requested) or email to the designated representative (receipt confirmed). Notices are effective upon receipt.

13. AMENDMENTS; WAIVER

13.1 No amendment to this Order shall be effective unless in writing and signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing; a waiver of one breach shall not constitute a waiver of any other breach.

14. GOVERNING LAW; VENUE

14.1 This Order shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

15. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

15.1 This Order, including any attachments and incorporated specifications, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, proposals or communications, whether written or oral.

15.2 If any provision of this Order is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute, valid provision that most nearly effects the original intent.

15.3 This Order may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

16. MISCELLANEOUS

16.1 Neither party may assign this Order without the prior written consent of the other, except that Purchaser may assign to an affiliate or in connection with a merger or sale of substantially all assets. The parties are independent contractors and nothing in this Order creates an agency, partnership or joint venture.

16.2 The parties agree to cooperate and execute such further instruments and take such further actions as may be reasonably necessary to carry out the purposes of this Order.
