LEGAL OWNERSHIP REPORTING TEMPLATE

This Legal Ownership Reporting Template (the "Report") is made and entered into as of by and between Company Name: (the "Company") and Reporting Party Name: (the "Reporting Party").

RECITALS

WHEREAS, the Company is required under its internal governance policies and applicable law to identify and document Beneficial Owners and persons exercising substantial control over the Company; and

WHEREAS, the Reporting Party has access to or possesses records, knowledge or information concerning the identity, address and ownership interests of persons that constitute Beneficial Owners of the Company; and

WHEREAS, the parties desire to set forth the manner, scope and timing by which ownership information will be reported, verified, maintained and updated.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Report the following terms shall have the meanings set forth below:

"Beneficial Owner" means any individual or entity who, directly or indirectly, through any contract, arrangement, understanding, relationship, or otherwise: (a) exercises substantial control over the Company; or (b) owns or controls, directly or indirectly, at least a specified percentage of ownership interest in the Company. For reporting purposes, beneficial ownership thresholds, if different from statute, shall be specified in Section 2.

"Ownership Interest" means equity, voting power, economic interest, convertible securities, options, or any instrument that may result in ownership or control.

2. SCOPE OF REPORTING AND THRESHOLDS

The Reporting Party shall deliver to the Company a complete statement identifying each Beneficial Owner and each person exercising substantial control, including the particulars set forth in Section 3, where such person meets or exceeds the ownership threshold of % ownership (the "Threshold"). If the Company elects a different Threshold, the Company shall specify such Threshold in writing to the Reporting Party.

3. REQUIRED OWNERSHIP INFORMATION

For each Beneficial Owner identified, the Reporting Party shall provide the following information in the form and detail reasonably required by the Company:

4. REPRESENTATIONS AND WARRANTIES

The Reporting Party represents and warrants that: (a) it has the authority to disclose the information provided herein; (b) the information supplied in this Report is true, correct and complete to the best of the Reporting Party's knowledge after reasonable inquiry; and (c) the Reporting Party will promptly supplement or correct any materially inaccurate or incomplete information when it becomes aware of such inaccuracy or incompleteness.

The Company represents that it will use the reported information solely for compliance, governance, regulatory and audit purposes and will handle such information in accordance with applicable confidentiality provisions set forth in Section 6.

5. REPORTING OBLIGATIONS; UPDATES

The Reporting Party shall provide the initial report required by this document within days of the effective date or within such other period requested in writing by the Company. Thereafter, the Reporting Party shall notify and provide updated information to the Company within days after becoming aware of any change in Beneficial Ownership or control that renders previously submitted information inaccurate or incomplete.

6. CONFIDENTIALITY; LIMITED USE

The Company shall treat information provided under this Report as confidential and shall not disclose such information except (a) as required by law or regulation; (b) to auditors, legal counsel or advisors under obligations of confidentiality; or (c) with the prior written consent of the Reporting Party. Notwithstanding the foregoing, the Company may disclose summary ownership metrics that do not identify individual Beneficial Owners.

7. NOTICES

All notices, demands and communications required or permitted under this Report shall be in writing and delivered to the addresses below (or to such other address as a party designates in writing).

8. AMENDMENTS; WAIVER

No amendment or waiver of any provision of this Report shall be effective unless it is in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any subsequent breach of the same or any other provision.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Report shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. If any provision of this Report is held invalid or unenforceable, that provision shall be construed or severed to the minimum extent necessary and the remainder of this Report shall remain in full force and effect. This Report, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter.

10. MISCELLANEOUS PROVISIONS

Counterparts: This Report may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Delivery of an executed signature page by electronic transmission shall be effective as delivery of a manually executed counterpart.

Remedies: The parties acknowledge that the Company may seek equitable relief, including injunctive relief, to enforce the obligations under this Report in addition to any other remedies available at law or in equity.
