LEGAL PACKET TEMPLATE

This Legal Packet Template (the Agreement) is entered into as of Effective Date: by and between Client Name: with Address: and Provider Name: with Address: .

RECITALS

WHEREAS, Client requires the preparation, compilation, review, or delivery of one or more legal documents and ancillary materials as specified in this Agreement; and

WHEREAS, Provider represents that it has the experience, personnel, and capability to prepare, assemble, and deliver the deliverables comprising the Legal Packet (as defined below) in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Provider will deliver the Legal Packet and Client will review, accept, and, if applicable, pay for the services and materials described herein.

NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows:

1. DEFINITIONS

1.1 "Legal Packet" means the set of documents, work product, exhibits, templates, and supporting materials to be delivered by Provider and described in Section 2. 1.2 "Deliverable" means any individual item forming part of the Legal Packet. 1.3 "Acceptance" means the written confirmation by Client that the Deliverable conforms materially to the specifications set forth in this Agreement.

2. PACKET CONTENTS AND SPECIFICATIONS

Provider shall furnish the Legal Packet consisting of the following documents, items, and services (collectively, the Packet Contents). The parties may attach an exhibit listing detailed specifications and required approvals.

Provider warrants that the Packet Contents will conform to the specifications set forth in this Agreement and shall, upon delivery, be complete and free from material defects in workmanship and preparation.

3. DELIVERY, REVIEW, AND ACCEPTANCE

3.1 Delivery: Provider shall deliver the Legal Packet to Client by Delivery Date: via Delivery Method: .

3.2 Review Period: Client shall have a period of Review Period (days): calendar days following delivery to inspect the Packet and provide notice of any non-conformity in accordance with Section 12 (Notices).

3.3 Acceptance: If Client does not timely provide written notice of non-conformity during the Review Period, the Packet shall be deemed accepted. If Client notifies Provider of non-conformity, Provider shall correct or replace the non-conforming Deliverable in a commercially reasonable time at no additional charge.

4. OBLIGATIONS OF THE PARTIES

4.1 Provider Obligations. Provider shall prepare the Packet in accordance with professional standards applicable to similar legal work and shall retain copies of work product for a minimum of Retention Period (years): unless otherwise agreed in writing.

4.2 Client Obligations. Client shall provide timely information, decisions, and approvals reasonably required by Provider to prepare the Packet and shall pay any fees in accordance with Section 5.

5. FEES, EXPENSES, AND PAYMENT

5.1 Fees. Client shall pay Provider the fees set forth below: Fee Amount: . All fees are exclusive of reasonable out-of-pocket expenses which shall be reimbursed upon presentation of receipts.

5.2 Payment Terms. Provider shall invoice Client upon delivery or completion of specified milestones. Invoices are payable within Payment Terms (days): days. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. CONFIDENTIALITY

6.1 Each party shall keep confidential all Confidential Information disclosed by the other party and shall use such information solely for the purpose of performing its obligations under this Agreement. Confidential Information excludes information that is or becomes public through no breach of this Agreement, was known to the receiving party prior to disclosure, or is rightfully received from a third party without restriction.

6.2 The obligations in this Section shall survive termination of this Agreement for Survival Period (years): .

7. INTELLECTUAL PROPERTY

7.1 Ownership. Unless otherwise agreed in writing, Provider retains ownership of templates, methodologies, and pre-existing intellectual property used in preparing the Packet, and Provider grants Client a non-exclusive, non-transferable, royalty-free license to use the final deliverables for Client's internal business purposes.

7.2 Third-Party Materials. Provider shall secure the necessary rights for any third-party materials included in the Packet and shall notify Client of any license restrictions.

8. REPRESENTATIONS, WARRANTIES, AND DISCLAIMERS

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement. PROVIDER WARRANTS THAT IT WILL PERFORM SERVICES WITH REASONABLE SKILL AND CARE. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

9. INDEMNIFICATION

Provider shall indemnify, defend, and hold harmless Client from and against any third-party claims arising out of Provider's gross negligence or willful misconduct in preparing the Packet. Client shall indemnify Provider for claims arising from Client-supplied information or misuse of the Packet by Client.

10. LIMITATION OF LIABILITY

EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT.

11. TERM AND TERMINATION

11.1 Term. This Agreement commences on the Effective Date and continues until completion of the obligations hereunder unless earlier terminated in accordance with this Section.

11.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon written notice to the other party at least Termination Notice Period (days): days prior to the effective termination date.

11.3 Effect of Termination. Upon termination, Client shall pay Provider for all services performed and expenses incurred up to the effective date of termination.

12. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate by written notice pursuant to this Section).

13. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. Failure to exercise any right shall not constitute a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to choice-of-law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
