RECITALS

WHEREAS, First Party is engaged in the business of providing certain goods and/or services described as ; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Confidential Information" means all non-public information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

1.2 "Effective Date" means the date set forth in the opening paragraph of this Agreement.

2. SCOPE OF SERVICES

2.1 Services. First Party shall provide the services described in Exhibit A attached hereto and incorporated by reference. If no Exhibit A is attached, describe core services here:

2.2 Standard of Performance. First Party shall perform the services in a professional and workmanlike manner in accordance with industry standards and applicable law.

3. TERM

3.1 Term. The term of this Agreement shall commence on the Effective Date and shall continue until day of , , unless earlier terminated in accordance with Section 9.

4. COMPENSATION

4.1 Fees. In consideration for the services, Second Party shall pay First Party the fees set forth below or in any applicable Statement of Work.

4.2 Payment Terms. Unless otherwise specified, invoices are due within days of invoice receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

5. CONFIDENTIALITY

5.1 Obligation. Each party shall maintain the confidentiality of Confidential Information of the other party and shall not disclose such information except as necessary to perform its obligations under this Agreement or as required by law.

6. INTELLECTUAL PROPERTY

6.1 Ownership. Except as expressly provided herein, each party retains all right, title and interest in and to its pre-existing intellectual property. All deliverables created specifically for Second Party under this Agreement shall be owned by subject to any license expressly granted herein.

6.2 License. To the extent necessary to perform the services, the owning party grants the other a limited, non-exclusive, non-transferable license to use such deliverables solely for the purposes contemplated by this Agreement.

7. REPRESENTATIONS AND WARRANTIES

7.1 Each party represents and warrants that: (a) it has full power and authority to enter into this Agreement; (b) the execution and performance of this Agreement will not violate any agreement with a third party; and (c) it will comply with all applicable laws in performing its obligations.

8. INDEMNIFICATION

8.1 Indemnity by First Party. First Party shall indemnify, defend and hold harmless Second Party from and against any third-party claims arising out of First Party's gross negligence, willful misconduct, or material breach of this Agreement.

8.2 Indemnity by Second Party. Second Party shall indemnify, defend and hold harmless First Party from and against any third-party claims arising from Second Party's misuse of deliverables or breach of payment obligations.

9. TERMINATION

9.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

9.2 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

10. LIMITATION OF LIABILITY

10.1 Except for liability arising from a party's gross negligence, willful misconduct, or breach of intellectual property rights or confidentiality obligations, neither party shall be liable for consequential, indirect, special or punitive damages.

11. NOTICES

11.1 All notices required or permitted under this Agreement shall be in writing and deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses set forth below or such other address as either party may specify in writing.

12. AMENDMENTS; WAIVER

12.1 No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a writing signed by authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any subsequent breach.

13. COUNTERPARTS

13.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding and enforceable.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the parties:

14.2 Entire Agreement. This Agreement, together with any exhibits or statements of work incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings.

14.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

MISCELLANEOUS

15.1 Independent Contractors. The parties are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency or employment relationship between the parties.

15.2 Remedies. Except as otherwise provided, the rights and remedies under this Agreement are cumulative and in addition to any other rights or remedies provided by law.
