LEGAL PARTIAL WAIVER AND RELEASE OF LIEN

RECITALS

2. PARTIAL WAIVER AND RELEASE

3. SCOPE OF RELEASE

The release granted herein is strictly limited to the Payment and does not release any amounts remaining due, retainage, change orders, or claims for extras not paid. Claimant expressly reserves all rights to assert claims for any portion of the invoice or other claims not satisfied by the Payment.

4. REPRESENTATIONS AND WARRANTIES

Claimant represents and warrants that: (a) it has the full right and authority to execute and deliver this Waiver and to grant the release herein; (b) to the extent of the Payment, Claimant has no outstanding lien, claim, or charge against the Project other than as disclosed in writing to Payor prior to execution of this Waiver; and (c) it will not later assert a lien, stop notice, bond claim, or similar encumbrance to the extent the Payment satisfies the portion of Claimant's claim described in Section 1.

5. CONDITIONAL PAYMENT PRACTICE

If the Payment is made by instrument subject to collection (e.g., check, draft), the waiver and release granted by Claimant is conditioned upon final and irrevocable collection of such instrument. If the instrument fails to clear, this Waiver will be void ab initio with respect to the amount represented by such instrument.

Governing Law: This Waiver shall be governed by and construed in accordance with the laws of the state governing the Project without regard to conflict of law principles.

Severability: If any provision of this Waiver is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
