What the Legal Partner Agreement Is and When It Applies

A Legal Partner Agreement is a written contract that defines the commercial and professional relationship between two or more parties collaborating on legal services, joint matters, or referral arrangements. Typical provisions cover the parties' identities, scope of work, fee allocation or compensation, client ownership and conflicts, confidentiality, data protection, term and termination, indemnities, and dispute resolution. For electronic execution, these agreements are generally enforceable under the federal ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes where adopted; they may still require notarization or witnesses in limited circumstances.

Why a Clear Legal Partner Agreement Matters

A clear, written agreement reduces disputes, allocates risk, and documents financial and ethical obligations. Electronic execution preserves enforceability when ESIGN (15 U.S.C. §7001) and UETA standards are met and when parties satisfy intent, consent, attribution, and reliable retention requirements.

Common mistakes to avoid when preparing this agreement
