LEGAL PARTNER REGISTRATION FORM

This Legal Partner Registration Form (the Agreement) is made and entered into as of Effective Date: by and between: Partnership Name: with principal office at ("Partnership") and Registrant Name: with principal address at ("Registrant"). This form documents the terms and conditions upon which the Registrant will be admitted and registered as a partner of the Partnership.

RECITALS

WHEREAS, the Partnership operates under the partnership agreement, partnership policies and applicable law governing the admission of partners; and

WHEREAS, the Registrant has applied to be admitted as a partner and represents that Registrant meets the qualifications required by the Partnership and will make the required capital contribution; and

WHEREAS, the Partnership, subject to the terms and conditions set forth herein and the approval of the requisite partners, is willing to register and admit the Registrant on the terms set forth in this Agreement.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings assigned below: "Admission Date" means the Effective Date stated above or such later date as the Partnership records the Registrant's admission; "Capital Contribution" means the cash, property, or other consideration to be contributed by the Registrant as described in Section 3; "Interest Percentage" means the percentage interest in the Partnership allocated to the Registrant pursuant to Section 4; "Confidential Information" means information described in Section 6.

2. ADMISSION AND CONDITIONS PRECEDENT

Subject to the terms and conditions of this Agreement, the Partnership agrees to register and admit the Registrant as a partner of the Partnership effective on the Admission Date, conditioned upon: (a) receipt of the Capital Contribution in accordance with Section 3; (b) delivery by the Registrant of signed counterparts of any partnership documents requested by the Partnership; and (c) completion of any background, credit or regulatory checks reasonably required by the Partnership.

3. CAPITAL CONTRIBUTION

The Registrant shall deliver to the Partnership a Capital Contribution in the amount of $ on or before . The form of contribution shall be cash unless otherwise agreed in writing. The Partnership shall issue credit to the Registrant's capital account in accordance with generally accepted partnership accounting principles.

4. CAPITAL ACCOUNT, ALLOCATIONS AND INTEREST

Upon admission, the Registrant shall be allocated an Interest Percentage of in the Partnership. All allocations of profits, losses and distributions shall be made in accordance with the Partnership agreement and applicable law.

5. RIGHTS, DUTIES AND RESTRICTIONS

The Registrant shall have the rights and obligations of a partner as set forth in the Partnership agreement, including fiduciary duties to the Partnership and other partners. The Registrant shall not assign or transfer any right, title or interest in the Partnership without the prior written consent of the Partnership as required by the Partnership agreement.

6. CONFIDENTIALITY AND NON-SOLICITATION

Registrant acknowledges that during the course of association with the Partnership it will receive Confidential Information. Registrant shall maintain such information in strict confidence and shall not use or disclose Confidential Information except as required in the ordinary course of Partnership business or as required by law. For a period of following termination of Registrant's status as a partner, Registrant shall not directly solicit the Partnership's clients or employees in a manner competitive with the Partnership.

7. REPRESENTATIONS AND WARRANTIES

The Registrant represents and warrants to the Partnership that: (a) Registrant has full power, authority and legal capacity to enter into this Agreement and to perform its obligations hereunder; (b) execution and delivery of this Agreement and the performance hereof do not and will not violate any agreement or legal obligation binding upon Registrant; and (c) there are no actions, claims or proceedings pending or, to Registrant's knowledge, threatened against Registrant that would impair Registrant's ability to perform hereunder.

8. INDEMNIFICATION

The Registrant shall indemnify, defend and hold harmless the Partnership and its partners from and against any and all claims, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the Registrant's representations, warranties or obligations under this Agreement, except to the extent caused by the gross negligence or willful misconduct of the Partnership.

9. TERMINATION; WITHDRAWAL

This Agreement governs the Registrant's initial registration and admission. Termination of the Registrant's status as a partner, withdrawal, or expulsion shall be governed by the Partnership agreement and applicable law. Any return of capital shall be subject to the Partnership agreement's provisions regarding distributions and creditors' rights.

10. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be delivered personally, by nationally recognized overnight courier, by certified mail (return receipt requested), or by confirmed facsimile or electronic transmission to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless made in writing and signed by both parties. No failure or delay by either party in exercising any right or remedy shall operate as a waiver thereof.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

13. ENTIRE AGREEMENT

This Agreement, together with the Partnership agreement and any documents executed pursuant hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written.

14. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic, legal and commercial intent.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be effective as original signatures.
