LEGAL PAYMENT ADDENDUM

This Payment Addendum ("Addendum") is entered into as of by and between Client Name: with principal place of business at and Service Provider Name: with principal place of business at . This Addendum amends the Agreement titled dated (the "Agreement").

RECITALS

WHEREAS, the parties entered into the Agreement and desire to modify certain payment terms related to the provision of services described therein; and

WHEREAS, the parties wish to set forth the scope, schedule and method of payments, and to memorialize remedies in the event of non-payment; and

WHEREAS, the parties intend that this Addendum control payment obligations between them to the extent inconsistent with the Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

1. PAYMENT OBLIGATION

Party B shall be entitled to payment in the total principal amount of USD for the services identified in the Agreement as modified by this Addendum. All monetary amounts referenced in this Addendum are expressed in United States Dollars unless expressly stated otherwise.

2. PAYMENT SCHEDULE

The payment shall be made according to the following schedule: Initial payment of due on ; thereafter payments in the amount of shall be due commencing on and continuing until or until the payment obligation is otherwise satisfied.

3. METHOD OF PAYMENT

Unless otherwise agreed in writing, payments shall be made by ACH bank transfer, wire transfer, or check as set forth below. The parties agree that electronic transfer constitutes payment upon irrevocable credit to the payee's account.

4. INVOICING AND PAYMENT PROCEDURES

Party B shall submit invoices to Party A in accordance with the schedule above. Each invoice shall include a detailed statement of services rendered and shall reference the Agreement. Payment of an uncontested invoice shall be due within days of Party A's receipt of the invoice.

5. LATE PAYMENTS; INTEREST; COSTS

Any undisputed amount not paid when due shall accrue interest at the lesser of (a) % per month, or (b) the maximum rate permitted by applicable law, calculated daily and compounded monthly. Party A shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Party B in enforcing payment.

6. TAXES

Unless otherwise required by law, Party B shall be responsible for all federal, state and local taxes imposed on its income. Sales, use, value-added or similar transactional taxes shall be paid by Party A in addition to the amounts specified herein when Party B provides a valid tax invoice and supporting documentation.

7. SECURITY INTEREST; SETOFF

To secure payment obligations under this Addendum, the parties agree that, if indicated below, Party B may retain a security interest in the collateral described. Party A grants Party B the right to set off any amounts owed by Party A to Party B against amounts otherwise owed by Party B to Party A, to the extent permitted by law.

8. DEFAULT; REMEDIES

An event of default shall occur if Party A fails to pay any amount when due and such failure continues for a period of days after written notice. Upon an event of default, Party B may suspend performance, accelerate all amounts due, exercise any security remedies available, and recover costs of collection, including reasonable attorneys' fees.

9. NOTICES

All notices required or permitted under this Addendum shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate in writing). Notices shall be deemed given upon personal delivery, upon confirmed delivery by commercial courier, or three business days after deposit in the U.S. mail, certified or registered, return receipt requested.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Addendum may be amended only by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Addendum may be executed in counterparts, each of which shall be deemed an original, and facsimile or electronic signatures shall be binding.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Addendum shall be governed by and construed in accordance with the laws of the state specified in the Agreement. This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. MISCELLANEOUS

The parties represent and warrant that they have the authority to enter into this Addendum and to perform their obligations herein. Terms defined in the Agreement have the same meaning when used in this Addendum unless otherwise defined herein.
