LEGAL PD RELEASE FORM

RECITALS

WHEREAS, Releasor is the sole author, owner or authorized agent of certain works, materials, or other subject matter described below (the "Works"); and

WHEREAS, Releasor desires to irrevocably dedicate the Works to the public domain or otherwise release, waive, and relinquish all rights in and to the Works to the fullest extent permitted by law, and Releasee desires to accept such dedication and release; and

WHEREAS, the parties intend by this Release to set forth the terms, representations, warranties, and indemnities attendant to that dedication and release.

NOW, THEREFORE, in consideration of the mutual covenants and for other good and valuable consideration, receipt and sufficiency of which are acknowledged, the parties agree as follows:

Releasor hereby irrevocably, unconditionally and perpetually relinquishes, waives, assigns and dedicates to the public domain, and grants to the public and to Releasee the right to use, reproduce, distribute, perform, display, modify, create derivative works from, sublicense, and otherwise exploit the Works in any medium now known or hereafter developed, throughout the world, for any purpose, without restriction and without further compensation. This dedication and grant is intended to be absolute, worldwide, perpetual, royalty-free and irrevocable to the maximum extent permitted by applicable law.

3. CONSIDERATION

As consideration for the rights granted herein, Releasee shall pay Releasor the sum of or other good and valuable consideration, the sufficiency of which Releasor acknowledges.

4. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that: (a) Releasor is the sole legal and beneficial owner of all rights in and to the Works or otherwise has full authority to make the dedication and grant contained herein; (b) the Works are original to Releasor and do not infringe upon or violate any rights of any third party; (c) there are no outstanding licenses, liens, encumbrances, assignments, or other agreements that would restrict the rights granted by this Release; and (d) Releasor has full power and authority to enter into this Release and to perform its obligations hereunder.

5. MORAL RIGHTS; WAIVER

To the maximum extent permitted by law, Releasor irrevocably waives any and all moral rights, droit moral, or similar rights in the Works. If any such waiver is unenforceable under applicable law, Releasor hereby grants Releasee a non-exclusive, transferable, sublicensable, perpetual, royalty-free license to exercise such rights to the fullest extent possible to accomplish the purposes of this Release.

6. INDEMNIFICATION

Releasor agrees to defend, indemnify and hold harmless Releasee and its officers, directors, employees, agents, successors and assigns from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees and costs) arising out of or relating to any breach of the representations and warranties set forth in this Release or any claim by a third party that the Works infringe or violate any rights of such third party.

7. NO FURTHER COMPENSATION

Releasor acknowledges and agrees that, except as expressly set forth in Section 3, Releasor shall not be entitled to any additional payment, accounting, notice or approval in connection with Releasee's exercise of the rights granted herein, including the sale, licensing, transfer or other exploitation of the Works.

8. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS RELEASE.

9. NOTICES

All notices, demands, or other communications required or permitted hereunder shall be in writing and delivered to the parties at the addresses set forth below or at such other address as a party may specify in writing pursuant to this Section. Notice shall be deemed given upon personal delivery, upon confirmed receipt of electronic transmission, or three (3) days after deposit with a nationally recognized overnight carrier.

10. AMENDMENTS AND WAIVER

No amendment, modification or waiver of any provision of this Release shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any other or subsequent breach.

11. GOVERNING LAW

This Release shall be governed by and construed in accordance with the laws of the State of , excluding its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes arising under this Release.

12. ENTIRE AGREEMENT

This Release contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral, relating to such subject matter.

13. SEVERABILITY

If any provision of this Release is held to be invalid, illegal or unenforceable in any respect under applicable law, such invalidity, illegality or unenforceability shall not affect any other provision hereof and this Release shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.

14. COUNTERPARTS; ELECTRONIC SIGNATURES

This Release may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.

15. MISCELLANEOUS

The headings in this Release are for convenience only and shall not affect the interpretation of this Release. Any ambiguity shall not be construed against either party as the drafter.
