Recitals

WHEREAS, the Applicant seeks authority to engage in peddling, solicitation, and the sale or distribution of legal publications and associated services within the jurisdiction of the Licensing Authority; and

NOW THEREFORE, in consideration of the Licensing Authority's review and potential issuance of a license, and the Applicant's covenants and certifications below, the parties agree to the terms and conditions set forth in this Application and, upon issuance, in the License granted pursuant to this Application.

1. Application Submission and Required Attachments

1.1 The Applicant shall submit with this Application the following: government-issued photo identification, evidence of lawful business registration (if applicable), a certificate of insurance, a bond in the amount required by the Licensing Authority, and a completed criminal history disclosure. 2. License Term, Fees, and Display

2.1 License Term: The License, if issued, shall be valid commencing on Effective Date: and shall expire as specified by the Licensing Authority unless sooner suspended or revoked pursuant to this Application and applicable law.

2.2 Display: The Licensee shall conspicuously display the License at all times during peddling operations and produce it on demand to any authorized enforcement officer.

4. Insurance, Bond and Financial Responsibility

4.1 The Licensee shall procure and maintain at its cost a commercial general liability policy and, if required by the Licensing Authority, a surety bond. All policies shall name the Licensing Authority as an additional insured when required and shall provide for at least 30 days' advance written notice to the Licensing Authority of cancellation.

5. Conditions of Operation

5.1 The Licensee shall comply with all applicable ordinances, rules, and instructions of the Licensing Authority governing hours of operation, locations where peddling is allowed or prohibited, conduct of representatives, and consumer protection. The Licensee shall not use aggressive, fraudulent, or deceptive practices. Violations shall constitute grounds for suspension or revocation.

6. Inspections, Records and Compliance

6.1 The Licensee shall permit inspections by authorized representatives of the Licensing Authority during business hours or while peddling and shall maintain complete records of transactions, receipts, and employee identification for a period of at least three (3) years. Failure to permit inspection or to maintain required records constitutes noncompliance.

7. Renewal, Suspension and Revocation

7.1 The Licensing Authority may suspend or revoke the License for material misrepresentation, failure to pay fees, failure to maintain insurance or bond, repeated violations of ordinances, or conduct that endangers public safety. Prior to revocation (except in cases of immediate public danger), the Licensee shall receive notice and an opportunity for an administrative hearing as provided by the Licensing Authority's rules.

8. Indemnification and Liability

8.1 The Applicant shall indemnify, defend, and hold harmless the Licensing Authority, its officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs and expenses, including reasonable attorneys' fees, arising out of or in connection with the Applicant's activities under the License or any breach of the Applicant's representations and warranties contained herein, except to the extent caused by the gross negligence or willful misconduct of the Licensing Authority.

9. Application Certifications

9.1 The Applicant declares under penalty of perjury that the information contained in this Application and in any attachments is true and complete. The Applicant acknowledges that false statements may result in denial, suspension, or revocation of the License and may subject the Applicant to criminal or civil penalties.

10. Notices; Amendments; Waiver; Governing Law; Severability

10.1 Notices. All notices required or permitted under this Application shall be in writing and delivered to the contact information provided herein. Notice shall be effective upon personal delivery or three (3) business days after deposit in the mail with first-class postage prepaid.

10.2 Amendments. This Application and any License issued pursuant to it may be amended only by a written instrument executed by both the Applicant (or Licensee) and a duly authorized representative of the Licensing Authority.

10.3 Waiver. Failure by the Licensing Authority to enforce any provision of this Application shall not constitute a waiver of its rights unless such waiver is in writing and executed by an authorized representative of the Licensing Authority.

10.4 Governing Law. This Application and any License granted pursuant hereto shall be governed by and construed in accordance with the laws of the applicable jurisdiction.

10.5 Severability. If any provision of this Application is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Appeal and Hearing Rights

11.1 The Applicant acknowledges that decisions to deny, suspend or revoke a License are subject to administrative appeal under the Licensing Authority's procedures. The Applicant may request a hearing within the timeframe and upon the terms established by the Licensing Authority.
