Term and Termination

This permission shall commence on and shall expire on unless earlier terminated in accordance with this section.

Either party may terminate this permission for convenience upon written notice delivered at least days prior to termination. Immediate termination may occur for material breach where the breaching party fails to cure within thirty (30) days of written notice.

Confidentiality

The parties acknowledge that in connection with the requested permission each may disclose Confidential Information. "Confidential Information" means nonpublic information disclosed in any form, including proprietary processes, business plans, technical data, financial information, trade secrets and other information reasonably designated as confidential. Each receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not use Confidential Information except to exercise rights or perform obligations under this permission; and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

Representations and Warranties

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this document and that performance will not violate any agreement, law or court order. Requester represents that activities conducted under this permission will comply with all applicable laws, regulations and third-party rights.

Governing Law; Dispute Resolution

This document shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to negotiate in good faith to resolve disputes promptly. If unresolved, disputes shall be resolved in the courts located in the county of the governing state selected above, and each party submits to personal jurisdiction and venue there.

Indemnification

Requester shall indemnify, defend and hold harmless Recipient, its officers, directors and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or relating to Requester's activities permitted hereunder, except to the extent caused by Recipient's gross negligence or willful misconduct.

Notices

All notices under this document shall be in writing and delivered to the addresses set forth above or to other addresses provided in writing. Notices shall be effective upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.

Entire Agreement

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
