5. INSURANCE AND INDEMNIFICATION

As a condition to the issuance of any permit, Applicant shall procure and maintain at its expense insurance in such types and amounts as the Authority may reasonably require, naming the Authority as an additional insured where applicable. Applicant agrees to indemnify, defend and hold harmless the Authority, its officers, agents and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Applicant's activities under any permit issued hereunder, except to the extent caused by the gross negligence or willful misconduct of the Authority.

6. CONDITIONS OF ISSUANCE; INSPECTIONS

The Authority may impose reasonable conditions on any permit approved, including but not limited to specific operational requirements, hours of operation, restoration obligations, monitoring, and performance bonds. All permits shall be subject to inspection by the Authority or its authorized representatives at reasonable times. Failure to comply with permit conditions shall be grounds for revocation, suspension or civil enforcement.

7. FEES, PAYMENT AND COST RECOVERY

Applicant shall pay all required application and permit fees at the time of submission. Where the Authority incurs costs for review, inspection, enforcement or monitoring attributable to Applicant, Applicant shall be responsible for reimbursement of such costs as provided by applicable law or regulation.

8. EXPIRATION, SUSPENSION AND REVOCATION

Permits issued pursuant to this Application shall expire on the date specified in the permit. The Authority reserves the right to suspend or revoke any permit upon material violation of permit conditions, false statements in the Application, or where continued activity presents an imminent threat to public health, safety or the environment.

9. NOTICES

All notices required or permitted hereunder shall be in writing and shall be deemed delivered when personally delivered, sent by certified mail, return receipt requested, or by other method of delivery providing proof of receipt to the addresses provided below.

10. AMENDMENTS; WAIVER

No amendment or waiver of any provision of this Application shall be effective unless made in writing and signed by both the Applicant and an authorized representative of the Authority. No failure or delay by the Authority in exercising any right shall operate as a waiver of that right.

11. GOVERNING LAW

This Application and any permit issued hereunder shall be governed by and construed in accordance with the laws of the state specified by the Authority. Applicant consents to the jurisdiction of the appropriate state and federal courts for resolution of disputes arising from or related to this Application or any permit.

12. ENTIRE AGREEMENT

This Application, together with any written permit, attachments and conditions incorporated by reference, constitutes the entire agreement between Applicant and the Authority with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral.

13. SEVERABILITY

If any provision of this Application is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed to effectuate the intent of the parties as nearly as possible.
