LEGAL PERSONAL RETAINER AGREEMENT

This Personal Retainer Agreement (Agreement) is entered into as of Agreement Date: by and between Attorney/Firm Name: , with principal address: (hereinafter "Attorney"), and Client Name: , with address: (hereinafter "Client").

RECITALS

WHEREAS, Client desires to engage Attorney to provide legal services in connection with the matter described as: ; and

WHEREAS, Attorney has represented that Attorney is qualified to perform such legal services and is willing to represent Client on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions of Attorney's engagement and Client's responsibilities.

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows:

1. SCOPE OF ENGAGEMENT

Attorney shall provide legal services to Client for the matter described above. The specific services to be provided include:

Services not expressly described above are outside the scope of this Agreement and will require a separate written engagement or amendment.

2. RETAINER AND FEES

Client shall pay an initial retainer in the amount of to be deposited into Attorney's client trust account. The retainer shall be applied against fees and costs as incurred in accordance with this Agreement.

Attorney's hourly rates for personnel assigned to this matter are as follows: Lead Attorney per hour; Associate/Paralegal per hour. Rates may be adjusted upon notice to Client.

Billing shall be rendered on a basis and is due within days of invoice. Unpaid balances may accrue interest at a rate of or the maximum permitted by law.

3. TRUST ACCOUNT AND DISPOSITION OF FUNDS

Retainer funds will be deposited into Attorney's client trust account and held until earned. Attorney shall provide periodic accountings of trust funds upon request and shall remit any unearned portion of the retainer to Client within days following termination of representation, after deduction of outstanding fees and costs.

4. COSTS AND EXPENSES

Client shall be responsible for all costs and expenses incurred in connection with the representation, including but not limited to filing fees, expert fees, deposition costs, courier charges, travel, and copying. Attorney may advance such costs and expenses and Client agrees to reimburse Attorney upon demand.

5. CLIENT COOPERATION

Client agrees to provide truthful information, to cooperate with Attorney, to attend meetings and court appearances as reasonably requested, and to comply with all reasonable requests for documents and authorizations necessary for Attorney to perform the services.

6. CONFLICTS OF INTEREST

Client represents that Client has disclosed to Attorney all facts and circumstances that could give rise to a conflict of interest. If a conflict of interest arises after execution of this Agreement, Attorney will notify Client and may withdraw if withdrawal is required or permitted by applicable rules of professional conduct.

7. TERMINATION

Either party may terminate this Agreement upon written notice to the other. Upon termination, Client shall pay Attorney for services rendered and costs incurred through the effective date of termination. Attorney shall take reasonable steps to protect Client's interests on termination, including providing reasonable notice and allowing time for Client to retain successor counsel.

8. CONFIDENTIALITY

Attorney shall maintain the confidentiality of Client information to the extent required by applicable law and professional obligations. Client acknowledges that Attorney may disclose confidential information when required by law, court order, or as necessary to carry out the representation.

9. LIMITATION OF LIABILITY

Except to the extent arising from willful misconduct or gross negligence, Attorney's liability to Client for any claim arising out of or relating to this Agreement or the services provided shall be limited to the total amount of fees actually paid by Client to Attorney under this Agreement.

10. INDEMNIFICATION

Client shall indemnify and hold Attorney harmless from any claims, liabilities, losses, damages, or expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client's fraudulent or criminal acts, or Client's failure to provide truthful information relevant to the representation.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.
