LEGAL PHOTO AGREEMENT

This Legal Photo Agreement ("Agreement") is entered into as of by and between Photographer: of ("Licensor") and Client: of ("Licensee").

Recitals

WHEREAS, Licensor is the sole author and owner of certain photographic works described herein and possesses all rights necessary to grant licenses for use of such works; and

WHEREAS, Licensee desires to obtain and Licensor agrees to grant a limited license to use the photographic works on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to set forth their entire agreement regarding the licensing, delivery, payment and permitted uses of the photographic works.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Definitions

1.1 "Photographic Works" means the photographs and digital images described in Section 3 and any derivatives prepared by Licensor. Photographic Works that are to be licensed under this Agreement are identified by reference and description in the Images Description field below.

1.2 "Licensed Uses" means the specific uses permitted under Section 2. Use outside the Licensed Uses constitutes infringement and material breach of this Agreement.

2. Grant of License

2.1 Subject to the terms and conditions of this Agreement and effective as of the Effective Date, Licensor hereby grants to Licensee a limited, non-transferable license to use, reproduce and display the Photographic Works solely for the Licensed Uses set forth in Section 2.2. Unless the Exclusive License box is checked below, the license granted is non-exclusive and Licensor retains all rights not expressly granted.

3. Photographic Works; Delivery

3.1 Description: Licensee and Licensor acknowledge the Photographic Works consist of the images described below and any final edited versions delivered by Licensor. Detailed description of images and quantities:

4. Compensation

5. Credit; Moral Rights

5.1 Credit Line: Licensee shall provide photo credit substantially in the following form wherever the Photographic Works are published: "Photo: " . The location and prominence of the credit shall be reasonably commensurate with industry practice for the medium of use.

5.2 Moral Rights: To the extent permissible under applicable law, Licensor hereby waives and assigns any moral rights in the Photographic Works necessary to permit Licensee to exercise the rights granted in this Agreement. Licensor shall not unreasonably withhold consent to routine modifications required for the Licensed Uses.

6. Representations and Warranties

6.1 Licensor represents and warrants that: (a) it is the exclusive owner of the Photographic Works or has the full right and authority to grant the licenses herein; (b) the Photographic Works are original and do not infringe any third party rights; and (c) no third party approvals are required for the Licensed Uses described in this Agreement, except as disclosed in writing.

6.2 Licensee represents and warrants that it will use the Photographic Works only as authorized by this Agreement and will not remove or obscure Licensor's credit.

7. Indemnification and Liability

7.1 Indemnification: Each party (Indemnitor) shall indemnify, defend and hold harmless the other party (Indemnitee) from and against any and all third party claims, damages, liabilities and expenses (including reasonable attorney fees) arising out of Indemnitor's breach of its representations, warranties or obligations under this Agreement.

7.2 Limitation of Liability: In no event shall either party be liable to the other for any indirect, incidental, consequential, special or punitive damages arising from this Agreement. Licensor's total liability for claims relating to this Agreement shall not exceed the total license fees actually paid by Licensee to Licensor under this Agreement.

8. Confidentiality; Publicity

8.1 Confidential Information disclosed in connection with this Agreement shall be held in confidence and used solely to perform obligations under this Agreement. Confidentiality obligations shall survive termination for a period of two years.

8.2 Publicity: Neither party may use the other party's name, logo or trademarks for promotional purposes without prior written consent, except that Licensor may display the Photographic Works in its professional portfolio.

9. Insurance

Licensee may require Licensor to maintain insurance appropriate to the scope of the production and indemnity obligations. If insurance is required, Licensee shall specify required coverages here:

11. Amendments; Waiver; Counterparts
