RECITALS

WHEREAS, Photographer/Producer desires to photograph or otherwise record the Subject and to use such photographs, images, likenesses and reproductions (collectively, "Photographs") for lawful purposes described in this Agreement; and

WHEREAS, Subject (or the undersigned parent or legal guardian where Subject is a minor) desires to grant Photographer/Producer the rights set forth below in exchange for the consideration described herein; and

WHEREAS, the parties intend by this Agreement to set forth the complete terms and conditions governing the use of the Photographs.

NOW, THEREFORE, in consideration of the mutual promises and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. GRANT OF RIGHTS

Subject hereby irrevocably grants to Photographer/Producer and its licensees, successors and assigns the worldwide, royalty-free right, license and permission to use, reproduce, distribute, publicly display, digitally transmit, create derivative works of, and otherwise exploit the Photographs in any and all media whether now known or hereafter devised, for commercial, promotional, editorial and advertising purposes, subject to the limitations set forth in this Agreement.

5. REPRESENTATIONS AND WARRANTIES

Subject represents and warrants that Subject is at least 18 years of age, has full right and authority to enter into this Agreement, and has not granted any rights to third parties that would conflict with the rights granted herein. If Subject is a minor, the undersigned parent or legal guardian represents that they have full authority to execute this Agreement on the minor's behalf.

Subject further represents that the exercise of the rights granted herein will not violate the rights of any third party.

6. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party, its affiliates and licensees from and against any and all claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of any breach of its representations, warranties or obligations under this Agreement or any third-party claim arising from the indemnifying party's acts or omissions.

7. CONFIDENTIALITY

Except as required for the uses authorized herein, neither party shall disclose the confidential business terms of this Agreement to any third party without the prior written consent of the other party, except as required by law.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below:

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any term shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties in writing. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Agreement is determined to be invalid or unenforceable, such determination shall not affect the validity of any other provision, which shall remain in full force and effect.
