LEGAL PILOT PACKAGE AGREEMENT

This Legal Pilot Package Agreement ("Agreement") is entered into as of Effective Date: by and between Provider Name: , a business organized as , with principal place of business at ; and Client Name: , a business organized as , with principal place of business at .

Recitals

WHEREAS, Provider is engaged in the development and delivery of legal technology, advisory services, and bundled pilot offerings, including software, analysis, and implementation services (the "Pilot Services"); and

WHEREAS, Client desires to engage Provider to deliver a Pilot Package to evaluate the suitability of Provider's solutions for Client's business purposes under the terms and limitations set forth herein; and

WHEREAS, the parties intend for the Pilot Services to be time-limited, subject to acceptance criteria and data protections that permit both parties to assess performance without creating ongoing obligations beyond the Pilot Term unless the parties execute a separate agreement for continued services.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Definitions

1.1 "Pilot Services" means the specific services, deliverables, software, and related consulting described in Exhibit A (Pilot Description), to be provided by Provider for the Pilot Term. Exhibit A is incorporated by reference and described in summary below.

1.2 "Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood as confidential given the nature of the information and the circumstances of disclosure.

2. Scope of Pilot Services

2.1 Provider will perform the Pilot Services described herein and in the Pilot Description. Pilot Description (summary):

2.2 Acceptance Criteria. The Pilot Services will be deemed accepted when Provider demonstrates functionality described in the Pilot Description and Client provides written acceptance or fails to provide material rejection within days following delivery of the deliverable.

3. Term; Termination

3.1 Term. The term of this Agreement begins on the Effective Date and continues for a Pilot Term of months unless earlier terminated as provided herein (the "Pilot Term").

3.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination does not relieve Client of payment obligations for services performed prior to termination.

3.3 Termination for Cause. Either party may terminate immediately for material breach if the breaching party fails to cure within days after written notice specifying the breach.

4. Fees and Payment

4.1 Fees. Client shall pay Provider the Pilot Fee of USD in accordance with the following schedule.

4.2 Late Payment. Overdue amounts will accrue interest at a rate of , or the maximum lawful rate if lower.

5. Confidentiality

5.1 Each party shall use Confidential Information solely to perform under this Agreement and shall not disclose Confidential Information to third parties except to its employees, contractors or agents who have a need to know and are bound by obligations of confidentiality no less protective than those in this Agreement.

5.2 Duration. Confidential obligations survive termination for a period of years, provided that trade secrets shall be protected so long as they remain trade secrets under applicable law.

6. Intellectual Property

6.1 Pre-existing IP. Each party retains all right, title and interest in and to its pre-existing intellectual property. Nothing in this Agreement transfers ownership of pre-existing IP.

6.2 Deliverables. Ownership of any custom deliverables produced solely for Client during the Pilot shall be allocated as follows (select one):

Client retains ownership of deliverables created exclusively for Client.

Provider retains ownership and grants Client a limited, non-exclusive, non-transferable license to use deliverables during the Pilot Term.

7. Data Use and Security

7.1 Data Types. Client will provide the following categories of data for the Pilot:

8. Representations and Warranties

8.2 Provider warrants that the Pilot Services will materially conform to the Pilot Description and that it will perform in a professional and workmanlike manner. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

9. Indemnification

9.1 Mutual Indemnity. Each party shall indemnify, defend and hold harmless the other party from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with performance under this Agreement.

9.2 Provider IP Indemnity. Provider will indemnify Client for third-party claims that the Pilot Services, as delivered and used in accordance with this Agreement, infringe a third party's registered intellectual property rights, provided Client gives prompt written notice and cooperates in the defense.

10. Limitation of Liability

10.1 EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED USD or the total fees paid under this Agreement, whichever is greater.

11. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice):

12. Amendments; Waiver; Counterparts

12.1 This Agreement may be amended only by a writing signed by both parties. No failure or delay in exercising any right will operate as a waiver, and a waiver must be in writing to be effective.

12.2 This Agreement may be executed in counterparts, each of which is an original and all of which together constitute one instrument. Signatures transmitted by electronic means shall be binding.

13. Governing Law; Entire Agreement; Severability

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict-of-law principles.

13.2 Entire Agreement. This Agreement, including the Pilot Description and any exhibits, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings.

13.3 Severability. If any provision is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

14. Insurance

Provider agrees to maintain commercial general liability and professional liability insurance in amounts customary for similar providers. Specific insurance requirements, if any, are detailed here:

15. Miscellaneous

15.1 Assignment. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.

15.2 Relationship of Parties. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or agency relationship.
