Affiant certifies, under penalty of perjury, that Affiant is qualified and authorized to perform the Review, that Affiant has examined the Plans identified herein, and that Affiant's statements in the Summary of review findings and Exceptions and required corrections are true and correct to the best of Affiant's knowledge and belief. Affiant further certifies compliance with all applicable licensing and ethical requirements applicable to Affiant's profession.

5. Reliance and Use

The Client, and those expressly authorized in writing by Client, may rely on the Review solely for the Project identified above. Any third party who relies on the Review does so at its own risk unless such reliance is expressly authorized in writing by Affiant and Client. Affiant shall have no liability for use of the Review for purposes other than those expressly stated in this Affidavit.

6. Records Retention

Affiant shall retain copies of the Plans and review notes for a period of years from the date of this Affidavit, unless otherwise required by law. Upon reasonable request, Affiant will provide copies of review documents to Client in accordance with applicable law and professional obligations.

7. Indemnification and Limitation of Liability

Client agrees to indemnify and hold harmless Affiant from claims, liabilities, losses and expenses arising from Client's misuse of the Review or reliance by unauthorized third parties. Notwithstanding anything to the contrary, Affiant's total aggregate liability for claims arising out of or relating to the Review shall not exceed the fees paid to Affiant for the Review, except for liability arising from willful misconduct or gross negligence as determined by a court of competent jurisdiction.

8. Notices

Any notice required or permitted under this Affidavit shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier. Notice is effective upon receipt.

9. Governing Law

This Affidavit shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

10. Entire Agreement; Severability

This Affidavit constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements.
