LEGAL PLAN AGREEMENT

This Legal Plan Agreement (the Agreement) is entered into as of by and between Client Name: with an address at (Client), and Provider Name: with an address at (Provider).

RECITALS

WHEREAS, Client desires to obtain ongoing legal services on a subscription basis for the matters described in this Agreement; and

WHEREAS, Provider is duly authorized and qualified to render the legal services described herein and agrees to provide such services under the terms and conditions set forth below; and

WHEREAS, the parties intend by this Agreement to fix their respective rights, duties, and obligations with respect to the legal plan engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Services" means the legal advice, drafting, review, and related services described in Section 2. "Plan Level" means the subscription tier selected by Client under this Agreement. "Confidential Information" has the meaning set forth in Section 7.

2. SCOPE OF LEGAL SERVICES

Provider shall provide legal services to Client subject to the limits and exclusions herein. Services included under this plan may consist of the following (select all that apply):

Additional exclusions: Provider will not provide litigation appearances in trial court, appeals, specialist opinions in tax or patent law, or services where an irreconcilable conflict of interest exists. Any service not expressly identified above is excluded unless agreed in a written amendment.

3. PLAN LEVEL, LIMITS, AND OVERAGE

4. FEES, RETAINER, AND BILLING

5. CLIENT OBLIGATIONS

Client shall provide timely and accurate information, cooperate with Provider, execute documents as reasonably requested, and notify Provider promptly of any change in circumstances material to the Services. Client acknowledges that Provider's ability to perform depends on Client's cooperation.

6. TERM AND TERMINATION

This Agreement commences on and continues for months unless earlier terminated in accordance with this Section. Either party may terminate upon days' prior written notice. Termination will not relieve Client of obligations to pay fees accrued through the effective date of termination.

7. CONFIDENTIALITY

Each party shall keep Confidential Information strictly confidential and shall not disclose such information except to personnel or third parties as required to perform the Services, or as compelled by law. Confidentiality obligations shall survive termination for years, unless otherwise required by law.

8. CONFLICTS OF INTEREST

Provider represents that, to the best of its knowledge after reasonable inquiry, no conflict of interest exists that would impair Provider's ability to perform the Services. If a conflict is discovered, Provider will notify Client promptly and will take appropriate action, including withdrawal if required by professional rules.

Client acknowledges receipt of the Provider's disclosure regarding any known conflicts described in the attached disclosure (if any).

9. RECORDS AND DELIVERABLES

Provider will retain copies of non-privileged work product for a commercially reasonable period and will deliver to Client all documents prepared for Client upon payment of outstanding fees, except where retention is required for professional obligations. Client may request copies of files subject to Provider's billing for retrieval and redaction time.

10. LIMITATION OF LIABILITY

Except for liability resulting from gross negligence, willful misconduct, or breach of confidentiality, Provider's liability to Client for any claim arising out of this Agreement shall be limited to the greater of (a) the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim, or (b) $.

11. INDEMNIFICATION

Each party shall indemnify and hold harmless the other from and against any third-party claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement or its negligent or willful acts or omissions.

12. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve any dispute arising under this Agreement. If a dispute cannot be resolved within forty-five (45) days, the dispute shall be resolved by the following selected method:

13. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or electronic delivery with confirmation.

15. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Agreement will be effective unless in writing and signed by both parties. No waiver of any breach will constitute a waiver of any other breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

16. MISCELLANEOUS

The parties are independent contractors and nothing in this Agreement shall be deemed to create a partnership, joint venture, agency, or employment relationship. Headings are for convenience only and do not affect interpretation.
