LEGAL PLATE AGREEMENT

This Legal Plate Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Plate Supplier: , a organized under the laws of , with principal place of business at ; and Client/Registrant: , with principal place of business at .

RECITALS

WHEREAS, Supplier is engaged in the manufacture, personalization and supply of vehicle registration plates, metal identification plates and related plate systems conforming to regulatory and security specifications; and

WHEREAS, Client desires to procure from Supplier certain legal plates described herein for use in Client's vehicle registration, fleet identification or related programs, and Supplier is willing to manufacture and deliver such plates under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to define the specifications, delivery, acceptance, intellectual property ownership, compliance obligations and remedies related to the production and supply of such plates.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Plates" means the physical license plates, identification plates, mounting hardware, decals, and tamper-evident components to be supplied under this Agreement as described in the Specifications.

1.2 "Specifications" means the detailed technical and security requirements set forth in Exhibit A (Specifications and Drawings), which are incorporated by reference and as amended by written agreement of the parties.

2. SCOPE OF SUPPLY

Supplier shall design, manufacture, personalize (if applicable), pack and deliver Plates that conform to the Specifications and any approved samples. The initial types and quantities to be supplied are described as Plate Type: , Quantity: , Unit Size/Dimensions: .

3. SPECIFICATIONS, SAMPLES AND APPROVAL

Supplier shall provide samples and detailed Specifications for Client approval prior to mass production. Client approval shall not be unreasonably withheld. Any deviation from the approved Specifications shall require written approval by Client. Supplier warrants that Plates will conform to approved Specifications and applicable regulatory requirements at the time of delivery.

4. PURCHASE ORDERS, PRICING AND PAYMENT

All Orders shall be placed by Client through written purchase orders referencing this Agreement. Pricing shall be: Unit Price: per Plate, exclusive of applicable taxes and shipping, unless otherwise agreed in writing. Prices are firm for the term specified unless the parties mutually agree in writing.

Payment Terms: Supplier shall invoice Client upon shipment. Client shall pay undisputed invoices within days of invoice receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

5. DELIVERY, TITLE AND RISK OF LOSS

Delivery terms shall be FCA Supplier's facility unless otherwise agreed. Title and risk of loss shall pass to Client upon delivery to the carrier at Supplier's facility, subject to Client's right to reject non-conforming Plates pursuant to Section 6.

6. INSPECTION AND ACCEPTANCE

Client shall have the right to inspect Plates within days after delivery. If Plates fail to conform to Specifications, Client may reject nonconforming Plates and Supplier shall, at Supplier's expense, promptly repair or replace such Plates or issue a credit. Failure to timely notify Supplier of rejection shall constitute acceptance.

7. WARRANTY

Supplier warrants that, for a period of months from the date of delivery, the Plates will be free from defects in material and workmanship and will conform to the Specifications. Exclusive remedies for breach of this warranty are repair, replacement or refund, at Supplier's option, provided Client gives prompt written notice. This warranty does not cover damage from misuse, accident, unauthorized modification, or normal wear and tear.

8. INTELLECTUAL PROPERTY

Supplier acknowledges that any Plate designs, markings, registrations or personalization data provided by Client are Client's Confidential Information and remain Client's property. Supplier shall not claim ownership or permit third-party use of Client-supplied designs except to perform this Agreement. Supplier grants Client a non-exclusive, royalty-free license to Supplier-developed tooling or processes to the extent required for Client's internal use of the Plates; all other Supplier intellectual property remains Supplier's.

9. CONFIDENTIALITY

Each party shall maintain as confidential all non-public information received from the other party in connection with this Agreement and shall not disclose such information except to employees, contractors or agents who need access to perform this Agreement and who are bound by confidentiality obligations. Confidentiality obligations shall survive termination of this Agreement for a period of five (5) years.

10. COMPLIANCE WITH LAW

Supplier shall comply with all applicable laws, regulations and standards governing the manufacture, security features and transport of Plates, including export controls and data protection requirements with respect to personalization data. Supplier shall obtain and maintain all permits and certifications required to perform its obligations.

11. INDEMNIFICATION

Supplier shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of (a) Supplier's breach of any warranty or representation in this Agreement; (b) Supplier's negligence or willful misconduct in performing its obligations; or (c) infringement of third-party intellectual property by the Plates as manufactured by Supplier in accordance with Client's approved Specifications, except to the extent such infringement arises solely from Client's specifications.

12. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, gross negligence, or Supplier's indemnification obligations under Section 11, neither party shall be liable to the other for indirect, special, consequential or punitive damages, including lost profits. Supplier's aggregate liability for direct damages arising from this Agreement shall not exceed the total amount paid by Client to Supplier under the applicable purchase order giving rise to the claim.

13. INSURANCE

Supplier shall maintain commercial general liability insurance, product liability insurance and cyber/data protection insurance adequate to cover risks arising from the manufacture and handling of Plates and handling of personalization data. Upon request, Supplier shall provide certificates of insurance evidencing required coverage.

14. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue for an initial term of years unless earlier terminated as provided herein. Either party may terminate for material breach if such breach remains uncured for thirty (30) days after written notice. Termination shall not affect rights and obligations incurred prior to termination, including payment and warranty obligations.

15. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party designates by written notice.

16. AMENDMENTS, WAIVER AND COUNTERPARTS

No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and together shall constitute one agreement.

17. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

18. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including all exhibits and purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. RECORDS AND AUDIT

Supplier shall maintain complete and accurate records relating to production, personalization data handling, quality tests and deliveries. Client or its authorized representative may audit such records upon reasonable notice during normal business hours to verify compliance with this Agreement.

20. REMEDIES

The rights and remedies provided in this Agreement are cumulative and in addition to any other rights available at law or in equity. Failure to enforce any right shall not be deemed a waiver of that right.
