RECITALS

WHEREAS, Assignor is the lawful holder of all rights, title and interest in and to the professional services agreement, registration, and related rights pertaining to the Player described above (the "Player Contract"); and

WHEREAS, Assignor desires to transfer and assign to Assignee all of Assignor's rights, obligations and interests in the Player Contract, and Assignee desires to accept such assignment on the terms and conditions set forth herein; and

WHEREAS, the parties intend that the assignment be effective as of the Effective Date stated above and that any payments, obligations and regulatory approvals applicable to the Player Contract shall be administered in accordance with this Agreement and applicable governing rules.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ASSIGNMENT

1.1 Assignment. Subject to the terms and conditions of this Agreement, Assignor hereby irrevocably assigns, transfers and conveys to Assignee all right, title and interest in, to and under the Player Contract, including without limitation all rights to compensation, bonuses, image and likeness rights to the extent assignable, ancillary agreements, receivables, registrations, licenses and any claims or causes of action arising therefrom (collectively, the "Assigned Rights"), effective as of the Effective Date.

1.2 Scope. The assignment is intended to be as comprehensive as permitted by applicable laws and governing sports authorities; provided, however, that the assignment does not effectuate a waiver of rights that cannot be assigned without third party consent, and Assignor shall seek such consents where required by law or regulation.

2. CONSIDERATION

2.1 Consideration. In consideration for the assignment, Assignee shall pay to Assignor the sum of (the "Consideration") in accordance with the payment schedule set forth below.

3.2 No Release of Obligations. Except as expressly provided in this Agreement, the assignment shall not release Assignor or the Player from obligations arising prior to the Effective Date unless expressly set forth in a written release executed by the relevant party.

4. REPRESENTATIONS AND WARRANTIES

4.1 Assignor's Representations. Assignor represents and warrants that: (a) Assignor is the lawful owner of the Assigned Rights and has full authority to assign such rights; (b) the Assigned Rights are free and clear of any lien, encumbrance, security interest, or adverse claim except as disclosed in writing to Assignee; (c) no bankruptcy, insolvency, or similar proceeding is pending or threatened against Assignor that would affect the Assigned Rights; and (d) Assignor's execution and performance of this Agreement will not violate any agreement to which Assignor is a party.

4.2 Assignee's Representations. Assignee represents and warrants that it has the corporate power and authority to perform its obligations hereunder and that its acceptance of this assignment will not violate any material law or regulation applicable to Assignee.

5. INDEMNIFICATION

5.1 Assignor Indemnity. Assignor shall indemnify, defend and hold harmless Assignee and its officers, directors and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations, warranties or covenants under this Agreement that relate to facts existing prior to the Effective Date.

5.2 Assignee Indemnity. Assignee shall indemnify, defend and hold harmless Assignor from and against any and all claims, liabilities, losses, damages and expenses arising out of Assignee's acceptance of the Assigned Rights, any breach by Assignee of this Agreement, or Assignee's acts or omissions after the Effective Date.

6. CONFIDENTIALITY

6.1 Confidential Information. All non-public information exchanged between the parties in connection with this Agreement shall be kept confidential and shall not be disclosed to any third party except as required by law, regulation, or governing sports authority, or as otherwise agreed in writing by the parties.

7. COMPLIANCE WITH GOVERNING RULES

7.1 Regulatory Approval. The effectiveness of this Assignment may be conditioned upon approval by any applicable league, federation or regulatory authority. The parties agree to cooperate and execute such further documents as may be necessary to obtain any required approval.

8. NOTICES

All notices, demands and other communications required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below or to such other address as a party may specify in writing.

9. MISCELLANEOUS

9.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties at the time of execution, without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of such courts for any disputes arising out of this Agreement.

9.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

9.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the parties' original intent.

9.4 Amendments and Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom enforcement is sought. A waiver of any breach shall not be deemed a waiver of any subsequent breach.

9.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding and deemed original signatures for all purposes.
