Governing Law: This Request and any resulting Purchase Order shall be governed by and construed in accordance with the laws of the state or jurisdiction specified in the Purchase Order and, in the absence of such specification, the laws of the jurisdiction where Requesting Party maintains its principal place of business.

Entire Agreement: This Request, together with any referenced master agreement and attachments expressly incorporated herein, constitutes the complete and exclusive statement of the terms agreed between the parties for the subject matter and supersedes all prior communications and proposals relating to the same.

Severability: If any provision of this Request is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
