LEGAL POC FORM

This Legal Point of Contact Agreement (the Agreement) is entered into as of Effective Date: by and between Organization Name: , a Corporation LLC Partnership , with principal place of business at (Organization), and Counterparty Name: , a Corporation LLC Other , with principal place of business at (Counterparty). Organization and Counterparty are each a Party and collectively the Parties.

RECITALS

WHEREAS, the Parties have contractual or operational relationships that require formal designation of authorized legal points of contact for receipt of notices, service of process, and other legal communications; and

WHEREAS, the Parties desire to establish and record designated primary and alternate legal points of contact, and to set forth procedures for notice delivery and limited authority delegated to such points of contact; and

WHEREAS, the Parties intend that designation of a point of contact under this Agreement shall not constitute a waiver of any Party's rights or defenses with respect to jurisdiction, venue, service, or other legal process except to the extent expressly provided herein.

NOW, THEREFORE, in consideration of the mutual covenants herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Point of Contact" or "POC" means the individual designated by a Party under Section 2 to receive legal notices, correspondence, and to accept or coordinate service of process as set forth in this Agreement.

1.2 "Notice" means any written communication required or permitted to be given under this Agreement, including but not limited to contractual notices, claimed breaches, claims regarding liability, demands, and any communication relating to legal proceedings.

2. DESIGNATION OF POINTS OF CONTACT

2.1 Each Party hereby designates a primary POC and an alternate POC. The primary POC shall be the first recipient of Notices; the alternate shall act in the event the primary is unavailable. Designations shall be provided in writing using the contact fields below and shall be effective upon delivery to the other Party in accordance with Section 4.

3. AUTHORITY AND LIMITATIONS

3.1 The POC designated herein is authorized to receive Notices on behalf of the designating Party. Receipt by a POC shall be deemed receipt by the Party for purposes of contractual notice provisions, subject to the delivery rules in Section 4.

3.2 Except as expressly provided in writing and signed by an authorized officer of a Party, a POC shall have no authority to amend, waive, bind, settle, or otherwise alter the legal rights or obligations of its Party. Any purported action outside the scope of the POC's authority shall be voidable by the non-authorizing Party.

4. NOTICES; DELIVERY; DEEMED RECEIPT

4.1 Notices under this Agreement shall be in writing and delivered to the primary POC at the contact information provided above. Notices may be delivered by personally delivering, nationally recognized overnight courier, certified mail (return receipt requested), or by email with confirmation of delivery and a copy by certified mail within three (3) Business Days.

4.2 Notices delivered by personal delivery or courier shall be deemed received upon delivery. Notices sent by certified mail shall be deemed received two (2) Business Days following deposit with the postal service. Notices sent by email shall be deemed received only upon the sender's receipt of a delivery or read receipt and, if requested by the recipient, upon physical delivery as provided above.

5. SERVICE OF PROCESS

5.1 Designation of a POC for the receipt of Notices shall not be construed as consent to personal jurisdiction or as a general waiver of any Party's rights to challenge service of process, except that a Party's designated POC may accept service of process in a particular matter if the Party provides written notice to that effect to the other Party.

6. CONFIDENTIALITY

6.1 Any personal contact information provided under this Agreement shall be used solely for delivery of Notices and for purposes related to legal communications and, where required by applicable law, shall be protected by customary confidentiality measures. This Section does not supersede any confidentiality obligations contained in other agreements between the Parties.

7. TERM; TERMINATION

7.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either Party upon thirty (30) days' prior written notice delivered in accordance with Section 4. Termination shall not affect the effectiveness of Notices delivered prior to the date on which termination becomes effective.

8. AMENDMENTS; WAIVER

8.1 No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of both Parties. No failure or delay by either Party in exercising any right hereunder shall operate as a waiver of that right.

9. GOVERNING LAW; VENUE

9.1 This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Each Party hereby submits to the exclusive jurisdiction of the state and federal courts located in that State for any action arising out of or relating to this Agreement.

10. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

10.1 This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous communications and understandings, whether oral or written.

10.2 If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall remain in full force and effect and the Parties shall negotiate in good faith a valid replacement provision that most nearly achieves the Parties' original intent.

10.3 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. A facsimile or electronic copy of a signature shall be deemed an original for all purposes.
