LEGAL POLICY ACKNOWLEDGEMENT

RECITALS

2. SCOPE OF OBLIGATIONS

Acknowledging Party agrees to comply with the Policies at all times while engaged with Issuer and in connection with access to Issuer's facilities, systems, devices, and data. Compliance includes, without limitation, adherence to user access rules, password and authentication requirements, restrictions on disclosure of Confidential Information, and obligations to report incidents promptly to the Issuer's designated contact.

3. TRAINING AND CERTIFICATION

Acknowledging Party shall complete all mandatory training and certification programs as required by the Policies. Failure to complete required training within the time frames established by Issuer may result in suspension of access privileges or other corrective action.

4. CONFIDENTIALITY; RETURN OF MATERIALS

Acknowledging Party recognizes that certain information received from Issuer may be confidential or proprietary. Acknowledging Party agrees to treat such information in accordance with the Policies and to return or destroy Issuer property and Confidential Information upon request or upon termination of their relationship with Issuer. This Section survives termination of the relationship.

5. MONITORING AND AUDIT

Issuer reserves the right to monitor compliance with the Policies, to conduct audits, and to investigate suspected violations. Acknowledging Party consents to such monitoring to the extent permitted by applicable law and understands that monitoring may include review of system logs, network activity, and communications made on Issuer systems.

6. REMEDIES; DISCIPLINE

Violations of the Policies may result in disciplinary action up to and including termination of employment or contract, withdrawal of access privileges, legal action, and recovery of damages. Nothing in this Agreement limits Issuer's right to seek equitable relief or pursue criminal referrals where appropriate.

7. REPRESENTATIONS AND WARRANTIES

Acknowledging Party represents and warrants that the information provided to Issuer in connection with this Acknowledgement is true and complete, that they are authorized to enter into this Agreement, and that they will promptly notify Issuer in writing of any changes to such information.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party designates in writing in accordance with this Section.

9. AMENDMENT; WAIVER

Any amendment to this Agreement must be in writing signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the party granting the waiver. The failure to exercise any right shall not constitute a waiver of that right.

10. GOVERNING LAW
