RECITALS

1.1 Acknowledging Party acknowledges receipt of, and represents that it has read and understands, the Policies. Acknowledging Party further acknowledges that the Policies are binding rules of conduct and that failure to comply may result in disciplinary action up to and including termination of employment or engagement.

2.1 Acknowledging Party shall comply with the Policies at all times while engaged by Company and shall take reasonable measures to ensure that actions taken on behalf of Company are consistent with the Policies. Compliance includes, without limitation, completing any training, certifications, or acknowledgments required by Company.

2.2 Acknowledging Party understands and agrees that violations of the Policies may result in disciplinary measures, corrective action, restitution, suspension of privileges, or termination of the relationship with Company, and that Company may take legal action where appropriate.

3. CONFIDENTIAL INFORMATION

3.1 Acknowledging Party acknowledges that, in the course of engagement with Company, the Acknowledging Party may have access to confidential and proprietary information. Acknowledging Party shall protect such information in accordance with Company policy and shall not disclose, use, or permit the use of such information except as expressly authorized in writing by Company or as required by law.

3.2 The obligations in this Section survive the termination of Acknowledging Party's relationship with Company for a period consistent with Company policy or, if not specified, for three (3) years following termination, except as otherwise required by applicable law.

4. REPORTING VIOLATIONS

4.1 Acknowledging Party agrees to promptly report any actual or suspected violations of the Policies, illegal conduct, or threats to Company assets or personnel. Reports may be made in accordance with Company reporting procedures or directly to the Company notice contact set forth in Section 10.

5. MODIFICATION OF POLICIES

5.1 Company may modify, amend or replace the Policies from time to time. Company will provide notice of material changes in accordance with Section 10. Continued engagement by Acknowledging Party following notice of modification constitutes acceptance of the amended Policies.

6. NO CONTRACTUAL RIGHTS CREATED

6.1 Except to the extent expressly stated herein, this Acknowledgment does not constitute a contract guaranteeing continued employment or engagement for any definite period and does not alter the at-will nature of employment where applicable. Nothing in this Acknowledgment limits Company's rights to manage, discipline, or terminate personnel in accordance with applicable law and Company policy.

7. NOTICES

7.1 All notices required or permitted under this Acknowledgment shall be in writing and delivered to the addresses set forth below or to such other address as either party may specify in writing in accordance with this Section.

8. AMENDMENTS; WAIVER; COUNTERPARTS

8.1 No amendment or waiver of any provision of this Acknowledgment shall be effective unless in writing and signed by both parties. The waiver by either party of a breach of any provision shall not operate as a waiver of any subsequent breach.

8.2 This Acknowledgment may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Electronic or facsimile signatures shall be binding as originals.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT
