LEGAL POLICY ADDENDUM

This Legal Policy Addendum (the "Addendum") is entered into as of Effective Date: by and between Party A: , a(n) ("Company"), and Party B: , a(n) ("Counterparty").

RECITALS

WHEREAS, Company and Counterparty are parties to that certain agreement titled dated (the "Original Agreement"); and

WHEREAS, the parties desire to amend, clarify and supplement certain policy provisions of the Original Agreement by adding the policies and procedures set forth in this Addendum; and

WHEREAS, the parties intend for this Addendum to govern the subject matter described herein and to establish procedures, compliance obligations and remedies related to the specified policies.

NOW, THEREFORE

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 Capitalized terms used in this Addendum and not otherwise defined have the meanings assigned to them in the Original Agreement. For the purposes of this Addendum, the following definitions apply:

"Policy" means the policy or set of policies described in Attachment A: .

2. INCORPORATION

2.1 The Policy described in Attachment A is hereby incorporated by reference into the Original Agreement and shall be deemed a part thereof for all purposes. In the event of any conflict between the terms of this Addendum and the Original Agreement, the terms of this Addendum shall control to the extent of the inconsistency.

3. SCOPE AND APPLICATION

3.1 This Addendum applies to all operations, personnel, contractors and agents of each party that are engaged in activities that are within the substantive scope of the Policy. Each party shall ensure that its personnel and agents comply with the Policy in all material respects.

3.2 The parties agree that the Policy establishes minimum standards. Each party may adopt more stringent internal rules so long as such rules do not conflict with the Policy or the Original Agreement.

4. EFFECTIVE DATE; TERM

4.1 This Addendum shall become effective on the Effective Date specified above and shall remain in effect for the duration of the Original Agreement unless earlier terminated in accordance with the Original Agreement or by mutual written agreement of the parties.

5. POLICY CONTENT AND ATTACHMENTS

5.1 The parties acknowledge that Attachment A contains operational procedures, responsibilities, definitions, and measurable criteria for compliance. Such criteria shall be used in good faith by both parties to evaluate conformance.

6. MODIFICATIONS TO POLICY

6.1 Either party may propose amendments to the Policy by providing written notice to the other party in accordance with Section 9 (Notices). Proposed amendments will become effective only upon mutual written agreement of authorized representatives of both parties.

6.2 Notwithstanding the foregoing, if a proposed amendment is necessary to address an immediate legal or regulatory requirement, the proposing party may implement the amendment provisionally, provided that the proposing party gives prompt notice and the parties cooperate to finalize a mutually acceptable written amendment within days.

7. COMPLIANCE, TRAINING AND AUDIT

7.1 Each party shall implement reasonable administrative, technical and physical safeguards necessary to ensure compliance with the Policy. Each party shall provide training to relevant personnel and maintain reasonable records evidencing training completion.

7.2 Upon reasonable prior written notice, either party shall have the right to audit the other party's compliance with the Policy. Audits shall be conducted during normal business hours and in a manner that minimizes disruption. Audit findings shall be addressed promptly and in good faith.

8. REMEDIES AND INDEMNIFICATION

8.1 A material breach of the Policy by a party shall constitute a material breach of the Original Agreement. The non-breaching party shall be entitled to all remedies available at law or in equity, including injunctive relief, specific performance and damages.

8.2 Each party agrees to indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or resulting from such party's material breach of the Policy.

9. CONFIDENTIALITY

9.1 All non-public information exchanged in connection with the Policy and this Addendum, including audit reports and compliance documentation, shall be treated as Confidential Information under the confidentiality provisions of the Original Agreement. Access to such information shall be limited to persons with a need to know.

10. NOTICES

10.1 All notices, requests, demands and other communications required or permitted under this Addendum shall be in writing and delivered to the addresses below or to such other address as a party designates in writing.

11. REPRESENTATIONS AND WARRANTIES

11.1 Each party represents and warrants that: (a) it has full corporate power and authority to enter into this Addendum; (b) execution and delivery of this Addendum have been duly authorized by all necessary corporate or organizational action; and (c) this Addendum constitutes a legal, valid and binding obligation enforceable against such party in accordance with its terms.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the state of , excluding its choice-of-law rules.

12.2 Entire Agreement. This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral, relating to that subject matter.

12.3 Severability. If any provision of this Addendum is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be reformed only to the extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

13. MISCELLANEOUS

13.1 Waiver. No waiver of any breach or default under this Addendum shall be effective unless in writing and signed by the waiving party.

13.2 Amendments. Any amendment to this Addendum must be in writing and executed by authorized representatives of both parties.

13.3 Counterparts. This Addendum may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
